Respondent Party has the meaning set forth in Section 7.6(b).
Independent Party means, with respect to a BDC Downstream Fund, (i) if the BDC Downstream Fund has a board of directors (or the equivalent), the board or (ii) if the BDC Downstream Fund does not have a board of directors (or the equivalent), a transaction committee or advisory committee of the BDC Downstream Fund.
Lender Recipient Party means collectively, the Lenders, the Swing Line Lender and the L/C Issuer.
Party or Parties means CenturyLink, as described in the first paragraph of this Agreement, or CLEC depending on the context and no other entity, Affiliate, Subsidiary or assign. Parties refers collectively to both CenturyLink and CLEC and no other entities, Affiliates, Subsidiaries or assigns.
Independent Third Party means any Person who, immediately prior to a contemplated transaction, does not own in excess of 5% of the Company’s Common Units on a fully-diluted basis (a “5% Owner”), who is not controlling, controlled by or under common control with any such 5% Owner and who is not the spouse or descendant (by birth or adoption) of any such 5% Owner or a trust for the benefit of such 5% Owner and/or such other Persons.
Covered Party has the meaning assigned to it in Section 9.21.
Managing Party shall have the meaning set forth in Section 7.2(a).
BRRD Party means any Underwriter subject to Bail-in Powers.
Recipient Party means the Party which receives Confidential Information from the other Party.
Aggrieved person is the person or persons making the claim.
Investor Party has the meaning set forth in Section 4.7.
Indemnifier means any Party obligated to provide indemnification under this Agreement;
Performing Party As defined in Section 11.12.
Indemnitor has the meaning set forth in Section 12.3.
Indemnified Party shall have the meaning set forth in Section 5(c).
Company Indemnitee has the meaning set forth in Section 7.2(b).
Participating Party means an enterprise or public body that has committed itself to reaching certain objectives under a voluntary agreement, or is covered by a national regulatory policy instrument;
investor of a Contracting Party means:
(a) A natural person having the nationality of a Contracting Party in accordance with its applicable law; or
(b) An enterprise constituted or organised under the applicable law of a Contracting Party; Making or having made an investment in the other Contracting Party's territory.
Designated Party means any person listed:
requested Party means the Contracting Party requested to provide information; n) the term “information gathering measures” means laws and administrative or judicial procedures that enable a Contracting Party to obtain and provide the requested information;
Buyer Party means Buyer or any Affiliate of Buyer that is a party to any Transaction Agreement.
Contractor Parties means a Contractor’s members, directors, officers, shareholders, partners, managers, principal officers, representatives, agents, servants, consultants, employees or any one of them or any other person or entity with whom the Contractor is in privity of oral or written contract (e.g. subcontractor) and the Contractor intends for such other person or entity to perform under the Contract in any capacity. For the purpose of this Contract, vendors of support services, not otherwise known as human service providers or educators, shall not be considered subcontractors, e.g. lawn care, unless such activity is considered part of a training, vocational or educational program.
injured party means any person entitled to claim compensation in respect of any loss or injury caused by a vehicle;
Party or “Parties” has the meaning set forth in the Preamble.
Contracting Party shall have the meaning designated in the preamble to Section 5.2 hereof.
FOIA Party means a Person that, in the reasonable determination of the Board of Directors, may be subject to, and thereby required to disclose non-public information furnished by or relating to the Company under, the Freedom of Information Act, 5 U.S.C. 552 (“FOIA”), any state public records access law, any state or other jurisdiction’s laws similar in intent or effect to FOIA, or any other similar statutory or regulatory requirement.
