DWT JOA definition

DWT JOA means the joint operating agreement dated 15 August 2006 between Tullow Ghana Limited, Sabre Oil and Gas Limited and KEG in respect of the DWT Block (and all amendments and supplements thereto (including pursuant to the DWT JOA Amendment Agreement, the DWT JOA Additional Amendment Agreement, the DWT JOA Second Amendment Agreement and the DWT JOA Third Amendment Agreement)).
DWT JOA means that certain Joint Operating Agreement dated August 15, 2006 by and among Tullow, Kosmos and Sabre, as amended from time to time, and any other agreements entered into wholly or partially in substitution therefor. A copy of the DWT JOA is attached hereto as Exhibit U.
DWT JOA means the joint operating agreement dated 15 August 2006 between Tullow Ghana Limited, Sabre Oil and Gas Limited and KEG in respect of the Deepwater Tano Contract Area (and all amendments and supplements thereto).

  • If TGL is unsuccessful in defending the Kosmos arbitration and is also unsuccessful in defending the Seadrill claim, then TGL’s estimated liability to Kosmos would be approximately $49 million (assuming the DWT JOA joint venture partners’ gross liability in respect of the Seadrill dispute is approximately $230 million).

  • We hereby give notice pursuant to Article 12.1(G) of the DWT JOA of the Transfer and the final terms and conditions of such Transfer, which are set out in the PSA, a copy of which is attached in Annex 1 to this notice, and the related disclosure letter delivered by AOHC to the Purchaser on ______________2021, a copy of which is attached in Annex 2 to this notice (the Disclosure Letter).

  • If you do not deliver a counter-notification as described in paragraph 9 above within thirty (30) Days of this notice (i.e. by _______________ 2021), you shall be deemed to have waived your pre-emption right under Article 12.1 of the DWT JOA in respect of the Transfer.

  • We refer to the joint operating agreement relating to the Deep Water Tano Contract Area originally entered into between Tullow Ghana Limited, Sabre Oil & Gas Limited, and Kosmos Energy Ghana HC on 15 August 2006 (as amended, modified, supplemented, assigned and novated from time to time, the DWT JOA).

  • Together, the PSA and the Disclosure Letter comprise the final terms and conditions negotiated and agreed between AOHC and the Purchaser in respect of the Transfer (the Transfer Terms) and this letter and its annexes together constitute the notice required to be delivered pursuant to Article 12.1(G)(1) of the DWT JOA.

  • The pre-emption is yet to close out and the pre-emption by fellow Joint Venture Partners to the DWT JOA is still be clarified.

Related to DWT JOA

  • JOA means the joint operating agreement currently in force in respect of operations pursuant to a Licence and identified as such in Schedule 1;

  • RFP Project Documents means the following documents to be entered into in respect of the Project, by the parties to the respective agreements:

  • Project labor agreement means a form of pre-hire collective

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Interconnection Study means any of the studies defined in the CAISO Tariff or, if applicable, any distribution provider’s tariff that reflect the methodology and costs to interconnect the Project to the Participating Transmission Owner’s electric grid.

  • Project Contract means any contract between the District or the Corporation and any contractor or vendor regarding the construction, production or other acquisition or installation of any part of an Acquisition Project.

  • Project Land means any parcel or parcels of land on which the project is developed and constructed by a promoter;

  • Project area plan means a written plan that, after its effective date, guides and controls the development within a project area.

  • Project Documents means all documents relating to the Construction Loan, Mortgage Loan and Construction Contract. It shall also include all documents required by any governmental agency having jurisdiction over the Apartment Housing in connection with the development, construction and financing of the Apartment Housing, including but not limited to, the approved Plans and Specifications for the development and construction of the Apartment Housing.

  • AMI means Area Median Income as defined by HUD.

  • PSC means the New York State Public Service Commission.

  • Interconnection Agreement means the interconnection agreement entered into by Seller pursuant to which the Facility will be interconnected with the Transmission System, and pursuant to which Seller’s Interconnection Facilities and any other Interconnection Facilities will be constructed, operated and maintained during the Contract Term.

  • Key Sub-Contract means each Sub-Contract with a Key Sub-Contractor;

  • Partnership Documents means (a) all Subject Instruments and (b) all other contracts, indentures, mortgages, deeds of trust, loan or credit agreements, bonds, notes, debentures, evidences of indebtedness, swap agreements, leases or other instruments or agreements to which the Partnership or any of its subsidiaries is a party or by which the Partnership or any of its subsidiaries is bound or to which any of the property or assets of the Partnership or any of its subsidiaries is subject that solely in the case of this clause (b), are material with respect to the Partnership and its subsidiaries taken as a whole.

  • Interconnection Studies means the Interconnection Feasibility Study, the System Impact Study, and the Facilities Study described in Tariff, Part IV and Tariff, Part VI.

  • Interconnection Agreements means, collectively, (a) an agreement by and among Owner, TransÉnergie and ISO-NE that sets forth such parties’ respective rights and obligations following the interconnection at the U.S. Border of the NECEC Transmission Line with the Québec Line and (b) an agreement by and between Owner and ISO-NE that sets forth such parties’ respective rights and obligations following the interconnection at the Delivery Point of the NECEC Transmission Line with certain transmission facilities operated by ISO-NE. The Interconnection Agreements shall address cost responsibilities among entities other than the Distribution Company and the other RFP Sponsors and shall include provisions, both technical and otherwise, for safe and reliable interconnected operations of the HVDC Transmission Project following Commercial Operation (including use of the HVDC Transmission Project for the delivery of electric power in emergency circumstances).

  • Project Contracts means collectively this Agreement, the Land Lease Agreement, the Construction Contract, O&M Contracts (if any) and any other material contract (other than the Financing Documents) entered into or may hereafter be entered into by the Concessionaire in connection with the Project;

  • PSA means each of the Note A-1 PSA and the Note A-2 PSA.

  • Production Burdens means any royalties (including lessor’s royalties), overriding royalties, production payments, net profit interests or other similar interests that constitute a burden on, and are measured by or are payable out of, the production of Hydrocarbons or the proceeds realized from the sale or other disposition thereof (including any amounts payable to publicly traded royalty trusts), but excluding Taxes and assessments of Governmental Entities.

  • Contractor Documents means one or more document, agreement or other instrument required by Contractor in connection with the performance of the products and services being purchased by the State, regardless of format, including the license agreement, end user license agreement or similar document, any hyperlinks to documents contained in the Contractor Documents, agreement or other instrument and any other paper or “shrinkwrap,” “clickwrap,” “browsewrap” or other electronic version thereof.

  • Optional Interconnection Study Agreement means the form of agreement for preparation of an Optional Interconnection Study, as set forth in Tariff, Attachment N-3.

  • EPC Contract means the Seller’s engineering, procurement and construction contract with the EPC Contractor.

  • MSAA Indicator Technical Specifications document means, as the context requires, either or both of the document entitled “Multi-Sector Service Accountability Agreement (MSAA) 2019-20 Indicator Technical Specifications November 5, 2018 Version 1.3” and the document entitled “Multi-Sector Service Accountability Agreement (MSAA) 2019-20 Target and Corridor-Setting Guidelines” as they may be amended or replaced from time to time;

  • Co-op Lease With respect to a Co-op Loan, the lease with respect to a dwelling unit occupied by the Mortgagor and relating to the stock allocated to the related dwelling unit.

  • Interconnection Point means the point(s) of connection(s) at which the project is connected to the grid i.e. it shall be at 11 / 22 kV bus bar level of substation of MSEDCL.

  • New Contracts means binding new agreements or amendments to existing agreements with customers.
