Effective Date of Call definition

Effective Date of Call means the later of (x) 60 days from the date of the Call Notice or (y) 60 days from the date a registration statement covering the Warrant Shares shall have become effective, which registration statement was filed by the Company upon the receipt of requests made (including a request made by the holder of this Warrant) prior to the Effective Date of Call and pursuant to the Amended and Restated Registration Rights Agreement dated as of the date hereof, among the Company, the Original Holder and the other persons named therein.

Any reference herein to the Registration Statement, the Basic Prospectus, the Prospectus Supplement or the Prospectus shall be deemed to refer to and include the documents incorporated by reference therein pursuant to Item 12 of Form S-3 which were filed under the Exchange Act on or before the Effective Date or the issue date of the Basic Prospectus, the Prospectus Supplement or the Prospectus, as the case may be; and any reference herein to the terms "amend", "amendment" or "supplement" with respect to the Registration Statement, the Basic Prospectus, the Prospectus Supplement or the Prospectus shall be deemed to refer to and include the filing of any document under the Exchange Act after the Effective Date or the issue date of the Basic Prospectus, the Prospectus Supplement or the Prospectus, as the case may be, deemed to be incorporated therein by reference.

  • Scheme Effective Date means the date on which a copy of the court order sanctioning the Scheme is duly filed on behalf of the Target with the Registrar of Companies in accordance with section 899 of the Companies Act.

  • Release Effective Date means the date the Release becomes effective and irrevocable.
