ELAN PROGRAM TECHNOLOGY definition

ELAN PROGRAM TECHNOLOGY means all Program Technology solely conceived or made by Elan and/or its agents.
ELAN PROGRAM TECHNOLOGY has the meaning assigned to it in the Development Agreement;
ELAN PROGRAM TECHNOLOGY means any Program Technology that (a) is not ELAN Product Technology or Joint Technology; (b) is Made by or through employees of, or consultants to, ELAN, alone or with any Third Party; and (c) does not use in a material respect or benefit in a material respect from any ARCHEMIX Technology, ARCHEMIX Materials, ARCHEMIX Patent Rights or Joint Technology.

ELAN PROGRAM TECHNOLOGY means all Program Technology that relates solely to Drug Delivery Technologies or Antisense whether conceived or made * Confidential Treatment Requested by Elan and/or its agents or TGEN or Newco and/or its agents pursuant to the Research and Development Program;
ELAN PROGRAM TECHNOLOGY shall have the meaning set forth in the Elan License Agreement.
ELAN PROGRAM TECHNOLOGY means Program Technology that (a) is related to the Elan Patents or Elan Technology; and (b) is unrelated to the GDL Patents or GDL Technology.

Related to ELAN PROGRAM TECHNOLOGY

  • Program Technology means Program Know-How and Program Patents.

  • Collaboration Technology means all Collaboration Patents and Collaboration Know-How.

  • Manufacturing Technology means any and all patents, patent applications, Know-How, and all intellectual property rights associated therewith, and including all tangible embodiments thereof, that are necessary or useful for the manufacture of adeno- associated viruses, adeno-associated virus vectors, research or commercial reagents related thereto, Licensed Products, or other products, including manufacturing processes, technical information relating to the methods of manufacture, protocols, standard operating procedures, batch records, assays, formulations, quality control data, specifications, scale up, any and all improvements, modifications, and changes thereto, and any and all activities associated with such manufacture. Any and all chemistry, manufacturing, and controls (CMC), drug master files (DMFs), or similar materials provided to regulatory authorities and the information contained therein are deemed Manufacturing Technology.

  • Company Technology means all Technology owned or purported to be owned by the Company.

  • Patent Rights means the rights and interests in and to issued patents and pending patent applications (which, for purposes of this Agreement, include certificates of invention, applications for certificates of invention and priority rights) in any country or region, including all provisional applications, substitutions, continuations, continuations-in-part, divisions, renewals, all letters patent granted thereon, and all reissues, re-examinations and extensions thereof, and all foreign counterparts of any of the foregoing.

  • Collaboration has the meaning set forth in Section 2.1.

  • Research License means a nontransferable, nonexclusive license to make and to use the Licensed Products or the Licensed Processes as defined by the Licensed Patent Rights for purposes of research and not for purposes of commercial manufacture or distribution or in lieu of purchase.

  • Technology means any and all technical information, specifications, drawings, records, documentation, works of authorship or other creative works, ideas, algorithms, models, databases, ciphers/keys, systems architecture, network protocols, research, development, and manufacturing information, software (including object code and source code), application programming interfaces (APIs), innovations, mask works, logic designs, circuit designs, technical data, processes and methods.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).
