Electronic Data Site means (a) the virtual data site established and maintained by Seller and its representatives at xxxx://xxxxxxxx.xxxxxxxxxxx.xxx/ in connection with the transactions contemplated by this Agreement and the Ancillary Agreements to which access was provided to Buyer and its representatives and (b) the intranet data site maintained by the Transferred Companies covering benefit plan information to which access was provided to Buyer and its representatives.

  • Electronic Data means facts, concepts and information converted to a form useable for communications, interpretation or processing by electronic and electromechanical data processing or electronically controlled equipment and includes programs, software and other coded instructions for the processing and manipulation of data or the direction and manipulation of such equipment.
