Entire Agreement; Written Form. Each Agreement, as defined in an applicable Order Form, constitutes the complete and exclusive statement of the agreement between SAP and Prime Contractor with respect to the subject matter hereof and all previous representations, discussions and writings are merged in, and superseded by each such Agreement and the parties disclaim any reliance on any such representations, discussions and writings. An Agreement may be modified only by a writing signed by both parties. An Agreement shall prevail over any additional, conflicting or inconsistent terms and conditions which may appear on any purchase order or other document furnished by Prime Contractor to SAP.
Entire Agreement; Written Form. The Agreement constitutes the complete and exclusive statement of the agreement between SAP and Licensee with respect to the subject matter hereof. All previous representations, discussions and writings (including any confidentiality agreements) are merged in and superseded by the Agreement and the parties disclaim any reliance on them. An Agreement may be modified only by a writing signed by both parties. An Agreement will prevail over terms and conditions of any Licensee issued purchase order which will have no force and effect, even if SAP accept or does not otherwise reject the purchase order.

This Agreement constitutes the complete and exclusive statement of the agreement between the parties relating to the subject matter hereof and supersedes all prior agreements, communications, arrangements, promises, assurances, warranties, representations and understandings between the parties (both oral and written) relating to that subject matter and no agreement, communication, arrangement, promise, assurance, warranty, representation, discussion, collateral contract or understanding of any kind, oral or written, shall be binding upon the parties unless incorporated herein. Each party acknowledges and agrees that in entering into this Agreement it has not relied on and shall have no remedy in respect of any agreement, communication, arrangement, promise, assurance, warranty, representation, discussion, collateral contract or understanding (whether negligently or innocently made) except those expressly set out in this Agreement. Each party agrees that it shall have no rights or remedies which, but for this section, might otherwise be available to it in respect of any such agreement, communication, arrangement, promise, assurance, warranty, representation, understanding, discussion, collateral contract or understanding; in any such case whether made innocently or negligently or otherwise. Nothing in this Agreement shall limit or exclude the liabilities or the rights or remedies of either party that cannot be limited or excluded by law. This Agreement may be modified only by a writing signed by both parties. This Agreement shall prevail over any additional, conflicting, or inconsistent terms and conditions which may appear on any purchase order or other document furnished by Licensee to SAP. This Agreement shall prevail over any additional, conflicting or inconsistent terms and conditions which may appear in any clickwrap end user agreement included in the Software. Signatures sent by electronic means (facsimile or scanned and sent via e-mail) shall be deemed original signatures. This Agreement does not create any partnership, joint venture or principal-and- agent relationship.

(a) The Purchase Agreement as amended by this Amendment constitutes the entire agreement and supersedes all other prior agreements and undertakings both written and oral among the parties with respect to the subject matter thereof and hereof. In the event of any translation of this Amendment, the English version shall govern.
(b) Any changes in this Amendment including, but not limited to, this clause shall only be valid if made in writing and executed by both Seller and Purchaser or, if necessary, in a stricter form.

These GTC, including all applicable Order Forms and Service Descriptions thereto, constitutes the entire agreement with respect to the subject matter hereof and supersedes all prior agreements between the parties, whether written or oral, relating to the same subject matter.
15.9.1. No modifications, amendments, or supplements to these GTC shall be effective for any purpose unless in writing and signed by the authorized signatories of the parties. The foregoing provision also applies to any waiver of the written-form requirement. Where in this Section and elsewhere in these GTC or an Order Form written form is required, that requirement can be met by facsimile transmission, exchange of letters, or other written form (excluding emails).
15.9.2. No conflicting or other conditions, including Customer’s general terms and conditions, form any part of the GTC or Order Form, even where SAP has performed Services without expressly rejecting such conditions. Any purchase order or other document issued by Prime contractor is for administrative convenience only. If, for reasons related to Prime contractor’s internal arrangements or otherwise, Licensee’s conditions of purchase or other standard terms are included by insertion, reference, enclosure, attachment or otherwise in Prime contractor’s acceptance of SAP’s offer (for example, in Prime contractor’s purchase order), Prime contractor cannot rely on those conditions or terms and they are not incorporated in and do not form any part of the GTC or Order Form, and failure to expressly exclude them does not imply their acceptance
Entire Agreement; Written Form. This Agreement and the Transaction Agreements constitute the entire agreement between the Parties with respect to the subject matter of this Agreement. Changes to this Agreement, including a change of this written form clause, shall require written form, unless a stronger form requirement applies.

(c) Neither party hereto waives any rights it may have under the Purchase Agreement, including any and all rights under SECTIONS 15 AND 18 of the Purchase Agreement, or otherwise under applicable law in connection with the Fifth Amendment or the subject matter hereof, all of which rights are hereby expressly reserved.
