Errors or Omissions definition

Errors or Omissions means any design or engineering Work, including any Submittals that: (a) does not conform to the Statement of Work; (b) fails to comply with Industry Engineering Standards, as applicable; or (c) could materially and adversely affect the mechanical, electrical or structural integrity of the Project, or the normal, efficient, effective or safe operation of the Project during the Project’s design life.
Errors or Omissions means any actual or alleged breach of duty, neglect, error, misstatement, misleading statement or omission actually or allegedly caused, committed or attempted by any of the directors, officers or employees of any Shareholder, while acting in their capacity as such on behalf of the Company, or claimed against them solely by reason of their being a Director or Officer of the Company.
