European Availability definition

European Availability means (a) the lesser of (x) the European Sublimit and (y) the sum of (i) the European Borrowing Base plus (ii) solely to the extent the total Revolving Exposure relating to the European Borrower exceeds the European Borrowing Base, the US Availability (calculated without giving effect to any European US Borrowing Base Utilization), minus (b) the total Revolving Exposure relating to the European Borrower.
European Availability means an amount equal to the lesser of (a) the European Sublimit and (b) the Aggregate Borrowing Base minus the total Revolving Exposure.

European Availability and "Excluded Subsidiary" set forth in Section 1.01 of the Credit Agreement are each hereby amended and restated in its entirety as follows: "Canadian Availability" means, with respect to the Canadian Loan Parties, at any time, an amount equal to (a) the lesser of (i) the total Canadian Revolving Subcommitment of all Canadian Revolving Lenders and (ii) the sum of (x) the Canadian Borrowing Base plus (y) the amount by which the lesser of (A) the total Domestic Revolving Commitments and (B) the Domestic Borrowing Base exceeds the sum of (A) the total Domestic Revolving Exposure and (B) the total European Revolving Exposure, minus (b) the total Canadian Revolving Exposure of all Canadian Revolving Lenders.
European Availability means, with respect to the European Borrowers, at any time, an amount equal to (a) the lesser of (i) the total European Revolving Subcommitment of all European Revolving Lenders and (ii) the sum of (x) the European Borrowing Base plus (y) the amount by which the lesser of (A) the total Domestic Revolving Commitments and (B) the Domestic Borrowing Base exceeds the sum of (A) the total Domestic Revolving Exposure and (B) the total Canadian Revolving Exposure, minus (b) the total European Revolving Exposure of all European Revolving Lenders. "Excluded Subsidiary" means Park Avenue Travel Ltd., an Ohio corporation, Lallegro, Inc., a Delaware corporation, EP Cleveland, Inc., a Delaware corporation, Park-Ohio Industries Treasury Company, Inc., a New York corporation, and ParkOhio Worldwide LLC, an Ohio limited liablity company.
European Availability means, as of any date of determination thereof by the Agent, the result, if a positive number of (a) the European Loan Cap at such time minus (b) the sum of (x) the aggregate Outstanding Amount of the European Credit Extensions.

  • Excess Availability means, as of any date of determination, the amount equal to Availability minus the aggregate amount, if any, of all trade payables of Borrower and its Subsidiaries aged in excess of historical levels with respect thereto and all book overdrafts of Borrower and its Subsidiaries in excess of historical practices with respect thereto, in each case as determined by Agent in its Permitted Discretion.

  • Availability Amount is (a) the lesser of (i) the Revolving Line or (ii) the amount available under the Borrowing Base minus (b) the outstanding principal balance of any Advances.

  • Service Availability The total number of minutes in a calendar quarter that the Tyler Software is capable of receiving, processing, and responding to requests, excluding maintenance windows, Client Error Incidents and Force Majeure.

  • Facility Exposure means, at any date of determination, the sum of the aggregate principal amount of all outstanding Advances and the Available Amount under all outstanding Letters of Credit.
