Exchange Documents definition

Exchange Documents shall have the meaning set forth in Section 3.2.

Exchange Documents means the Exchange Note Indenture and the Exchange Notes.

Examples of Exchange Documents in a sentence

• All consents, authorizations, orders, filings and registrations which the Company or any Subsidiary is required to obtain pursuant to the preceding sentence have been obtained or effected on or prior to the date hereof, and neither the Company nor any of its Subsidiaries are aware of any facts or circumstances which might prevent the Company or any of its Subsidiaries from obtaining or effecting any of the registration, application or filings contemplated by the Exchange Documents.

• The Company has the requisite power and authority to enter into and perform its obligations under this Agreement and each of the other agreements entered into by the parties hereto in connection with the transactions contemplated by the Exchange Documents and to consummate the Exchange (including, without limitation, the issuance of the Exchange Shares).

• The Company shall file a Current Report on Form 8-K within the required timeframe describing the terms of the transactions contemplated hereby in the form required by the 1934 Act and attaching the Exchange Documents, to the extent they are required to be filed under the 1934 Act, that have not previously been filed with the SEC by the Company (including, without limitation, this Agreement) as exhibits to such filing (including all attachments, the “8-K Filing”).

• The execution and delivery of the Exchange Documents by the Company and the consummation by the Company of the transactions contemplated hereby and thereby, including, without limitation, the issuance of the Exchange Shares, has been duly authorized by the Company’s Board of Directors and no further filing, consent, or authorization is required by the Company, its Board of Directors or its stockholders.

• The Holder shall have all rights and remedies set forth in the Exchange Documents.

More Definitions of Exchange Documents

Exchange Documents means this Agreement, the Note and each of the other agreements and instruments entered into by the parties hereto in connection with the transactions contemplated hereby and thereby.

Exchange Documents is defined in Section 2.3(d)(ii).

Exchange Documents has the meaning set forth in Section 2.8(b).

Exchange Documents means this Agreement and any other documents to be executed and delivered in connection with the consummation of the Exchange Offer.

Exchange Documents means (a) the Confidential Offering Memorandum and Consent to Solicitation Statement, dated October 27, 2021, and (b) the Term Loan Exchange Agreement and related exhibits shared with the existing lenders of the Exela Term Loans on October 27, 2021.

Exchange Documents shall have the meaning assigned thereto in Section 15.24.

Exchange Documents has the meaning defined in Section 7.18.
