Excluded Business Opportunity definition

Excluded Business Opportunity means a business opportunity other than a business opportunity: (a) that (i) has come to the attention of a Person solely in, and as a direct result of, its or his capacity as a director of, advisor to, principal of or employee of the Company or a subsidiary of the Company, or (ii) was developed with the use or benefit of the personnel or assets of the Company, or a subsidiary of the Company, and (b) that has not been previously independently brought to the attention of the subject Person from a source that is not affiliated (other than through such subject Person) with the Company or a subsidiary of the Company.
Excluded Business Opportunity means a business opportunity other than a business opportunity: (a) that (i) has come to the attention of a Person solely in, and as a direct result of, its or his capacity as a director of or an advisor to, principal of or employee of the Company or a subsidiary of the Company, or as employee of an entity that has contracted with the Company to provide personnel, management and administrative services to the Company, or (ii) was developed with the use or benefit of the personnel or assets of the Company, or a subsidiary of the Company, and (b) that has not been previously independently brought to the attention of the subject Person from a source that is not affiliated (other than through such subject Person) with the Company or a subsidiary of the Company.
Excluded Business Opportunity means a business opportunity other than a business opportunity:

Examples of Excluded Business Opportunity in a sentence

  • No member of the Institutional Investor Group, including any GP Manager, shall have any obligation to communicate or offer any Excluded Business Opportunity to the General Partner, the Partnership or their respective Subsidiaries, and any member of the Institutional Investor Group may pursue for itself or direct, sell, assign or transfer to a Person other than the General Partner, the Partnership or their respective Subsidiaries any Excluded Business Opportunity.

  • Characterization of something as an Excluded Business Opportunity or a decision by the Partnership not to pursue any Business Opportunity shall not alter or excuse obligations of the Partners with respect to Confidential Information as set forth in Section 9.4(b).

  • Notwithstanding the foregoing, the Business shall not include an Excluded Business Opportunity.

  • The foregoing will not supersede any agreement that any Member has with another Member or directly with the QRF Funds related to such Members interest in and Excluded Business Opportunity.


More Definitions of Excluded Business Opportunity

Excluded Business Opportunity means any matter, transaction or interest that is presented to or acquired, created or developed by, or which otherwise comes into the possession of, a Class A Member, a Class A Manager, a Class B Member or a Class B Manager, other than an ordinary course business opportunity taken by Apace KY LLC, a Kentucky limited liability company d/b/a Apace Packaging LLC, or AvMEDICAL, LLC that is not in the Restricted Business.
Excluded Business Opportunity means a business opportunity other than a business opportunity more fully described in Sections 6.11, 6.12 and 6.13 of this Agreement.

Related to Excluded Business Opportunity

  • Business Opportunity means any commercial, investment or other business opportunity relating to the Business.

  • Excluded Business means a Business excluded from application for an Inter- Community Business Licence and includes those Businesses referred to in Schedule A attached hereto and forming part of this bylaw.
