In no event shall the obligation of the Partnership Entities to cooperate with EPCO as set forth in the immediately preceding sentence be construed as imposing upon the Partnership Entities an obligation to hire and pay for counsel in connection with the defense of any claims related to the Excluded Litigation.
Under Comm 2013’s plan, holders of Citizen Unsecured Claims receive in full satisfaction, settlement, release, extinguishment and discharge of such Claim: (a) its pro-rata distribution of a $200,000 Unsecured Claim Fund; and (b) a pro-rata distribution of all Litigation Proceeds and Avoidance Actions, other than the Excluded Litigation Claims.
Buyer shall, and shall cause the Companies and their Subsidiaries to, reasonably cooperate with Seller and its counsel in the investigation, defense and settlement of such Excluded Litigation Matters.
Seller shall be entitled to retain, and none of the Buyer, the Company or the Company Subsidiary shall have any claim to, any amounts received by, or awarded to, Seller, the Company or the Company Subsidiary in connection with the Excluded Litigation.
Following the Closing Date, Buyer shall, and shall cause the Companies and their Subsidiaries to, maintain all records and materials (in whatever form maintained, whether documentary, electronically stored or otherwise) pertinent to any Excluded Litigation Matters.
