Excluded Litigation definition

Excluded Litigation means the following litigation: Xxx X. Xxxxxx ------------------- ------------- v. The ServiceMaster Company, L.P. and its successor, The ServiceMaster Company ------------------------------------------------------------------------------- (Xxxxxx County, Georgia), and 7-Eleven, Inc. v. ServiceMaster Management ------------------------------------------ Services, L.P. (Dallas County, Texas), and any additional litigation arising out -------------- of the circumstances giving rise to such litigation.

Excluded Litigation the DSC Litigation and any other litigation specifically described and identified in the S-4 Filing, in each case only to the extent that the responsibility for the DSC Litigation or such other litigation, as the case may be, is borne by the party to whom the Distribution Agreement has allocated responsibility therefor.

Excluded Litigation means the actions and proceedings set forth in Section 9.01(a)(iii) of the Disclosure Schedule.

• In addition, Buyer, the Company and the Company Subsidiary agree to promptly pay to Seller any and all amounts received under any Seller Policy in respect of Excluded Litigation.

• Seller shall be entitled to retain, and none of the Buyer, the Company or the Company Subsidiary shall have any claim to, any amounts received by, or awarded to, Seller, the Company or the Company Subsidiary in connection with the Excluded Litigation.

• Buyer shall, and shall cause the Companies and their Subsidiaries to, reasonably cooperate with Seller and its counsel in the investigation, defense and settlement of such Excluded Litigation Matters.

Excluded Litigation has the meaning ascribed to it in the definition of “Excluded Assets” set forth above.

Excluded Litigation means (a) any present or future action, suit, arbitration or legal or administrative proceeding, and any present or future criminal, regulatory or administrative actions or investigations by any Governmental Entity, which relate to the Business, any Transferred Asset or any Transferred Employee and to the extent arising from or relating to acts, events or occurrences prior to Closing, and (b) any Action identified in Schedule 3.07 and designated as Excluded Litigation.

Excluded Litigation means any Legal Action (or any portion thereof), whether before or after the Closing Date, against any of the Acquired Companies to the extent arising from any action or omission of the Acquired Companies, or any circumstances of or associated with the Acquired Companies existing, in each case, at or prior to the Closing Date, other than any Traditional Insurance Business Litigation.

Excluded Litigation means any liabilities or obligations relating to any present or future litigation claims, actions or proceedings, and any present or future governmental and/or criminal actions or investigations, in which any Seller is named as a defendant other than claims litigation occurring in the ordinary course of the Sellers' business.

Excluded Litigation shall have the meaning set forth in Section 2.02(d)(iv).

Excluded Litigation means the Litigation designated as "Excluded Litigation" on Schedule 4.13.
