Exclusive Supply Period definition

Exclusive Supply Period means the period commencing with the Launch Date and continuing until Corium has manufactured and released for commercial use, from each of the [*] coating lines used for commercial manufacture the Product, [*] units of Product. (For the purposes of this provision, a “unit” means one patch; and “Product” refers to the AG200-15 Product and the AG900 Product.) If Product demand exceeds the capacity of the [*] coating lines prior to reaching the [*] unit level referred to above, Agile and Corium will work together in good faith to ensure that the market continues to be supplied.”
Exclusive Supply Period means the period of time during which Licensor, either directly or through its Affiliates, is the exclusive supplier of the Clopidogrel Bulk to the SNC Partnership.
Exclusive Supply Period shall commence on the date of initial commercial production of the first Model (“Production Inception”) and shall expire on the ** anniversary of Production Inception; provided, however, that if Customer agrees to commence production of a new variant of one of the Models that delivers material cost savings to Customer and/or material improvements in functionality utilizing design improvements developed by Plextek (an “Agreed Improved Design”), then the Exclusive Supply Period solely with respect to such Agreed Improved Design shall be ** years from the date production commences of such Agreed Improved Design.

Examples of Exclusive Supply Period in a sentence

  • The term of this Agreement (the “Term”) shall commence on the Effective Date and shall continue until the earlier of (i) termination pursuant to Section 10.2, or (ii) the end of the Exclusive Supply Period.

  • Corium shall grant to Agile and/or its designated Affiliate or Third Party Manufacturers, as directed by Agile, a non-exclusive, non-transferable, non-sublicensable, limited right to use and practice the Corium Intellectual Property during the Exclusive Supply Period, but solely to the extent necessary to enable Agile and/or such Affiliate or Third Party Manufacturer to manufacture the Product for Agile pursuant to Section 3.4(b).

  • During the Exclusive Supply Period, and subject to the terms and conditions of this Agreement, Corium hereby grants to Agile an exclusive, transferable (but only as permitted in Section 11.6), non-sublicensable, royalty-free license under the Corium Intellectual Property to use, market, sell (directly or through multiple tiers of distribution), offer to sell and otherwise commercially exploit Product manufactured by Corium (or by another party in accordance with Section 3.4(b)) in the Territory.

  • After the Exclusive Supply Period, Corium hereby grants to Agile an exclusive, transferable (but only as permitted in Section 11.6), royalty-bearing license under all of the Corium Intellectual Property, subject to the terms and conditions of this Agreement and Agile’s payment of all royalties due under Article 6, to make, have made, market, sell (directly or through multiple tiers of distribution), offer to sell, use, import and otherwise commercially exploit the Product in the Territory.

  • Agile will have the right to manufacture the Product itself or qualify one or more Third Party Manufacturers as a second source for supply of the Product, at Agile’s expense; provided, however, that for the duration of the Exclusive Supply Period, such Third Party Manufacturer may supply Agile with Products for commercial sale, and Agile may manufacture Products for commercial sale, only to the extent expressly permitted in clause (b) below.

  • The term of the Exclusive Supply Period will be extended for an additional one (1) year period if mutually agreed upon in writing by both parties at least ninety (90) days prior to the expiration of the Exclusive Supply Period or any extension thereof.

  • In case these quantities will not be met, either party hereto has the option of terminating the Exclusive Supply Period with ninety days prior written notice to the other party.

  • Notwithstanding the foregoing, ZEISS will provide the production designs, drawings, prints, materials, documents and specifications pertaining to the ASK Reader and ASK Workstation within ninety (90) days prior to the end of the Exclusive Supply Period (defined in Article 5.1 below).

  • Upon renewal of the Exclusive Supply Period the parties agree to negotiate in good faith discounts and royalties.

  • In the event the pricing as indicated in Section 6.1 is further reduced by at least [*], CELLOMICS agrees to pay to ZEISS, as a royalty, [*] of the reagent revenue derived from ASK Workstations and ASK Readers during the initial Exclusive Supply Period.

  • Supply Period means for a Supply Point, the period beginning on the Start Date and ending on the Termination Date;

  • Clinical Supply Agreement has the meaning set forth in Section 4.2.

  • Commercial Supply Agreement has the meaning set forth in Section 5.2.

  • Supply Agreement has the meaning set forth in Section 7.1.

  • Self Supply LSE means a Load Serving Entity in one or more Mitigated Capacity Zones that operates under a long-standing business model to meet more than fifty percent of its Load obligations through its own generation and that is (i) a municipally owned electric system that was created by an act of one or more local governments pursuant to the laws of the State of New York to own or control distribution facilities and/or provide electric service, (ii) a cooperatively owned electric system that was created by an act of one or more local governments pursuant to the laws of State of New York or otherwise created pursuant to the Rural Electric Cooperative Law of New York to own or control distribution facilities and/or provide electric service, (iii) a “Single Customer Entity,” or (iv) a “Vertically Integrated Utility.” A Self Supply LSE cannot be an entity that is a public authority or corporate municipal instrumentality created by the State of New York (including a subsidiary of such an authority or instrumentality) that owns or operates generation or transmission and that is authorized to produce, transmit or distribute electricity for the benefit of the public unless it meets the criteria provided in section (i), (ii), or (iii) of this definition. For purposes of this definition only: “Vertically Integrated Utility” means a utility that owns generation, includes such generation in a non-bypassable charge in its regulated rates, earns a regulated return on its investment in such generation, and that as of the date of its request for a Self Supply Exemption, has not divested more than seventy-five percent of its generation assets owned on May 20, 1996; and “Single Customer Entity” means an LSE that serves at retail only customers that are under common control with such LSE, where such control means holding 51% or more of the voting securities or voting interests of the LSE and all its retail customers.

  • Exclusive Territory means (1) the states of Illinois, Wisconsin, and Indiana; and

  • Supply Point means the point of connection between the licensed network and your apparatus or equipment.

  • Supply Pipe means any part of a service pipe which a water undertaker could not be, or have been required to lay under section 46 of the Water Industry Act 1991; and

  • exclusive licence means a licence from the proprietor of or applicant for a patent conferring on the licensee, or on him and persons authorised by him, to the exclusion of all other persons (including the proprietor or applicant), any right in respect of the invention to which the patent or application relates, and “exclusive licensee” and “non-exclusive licence” shall be construed accordingly;

  • Network Supply Point or "NSP" means any Point of Connection between:

  • Excluded Products means the part(s) of the Products specified as such in the Lot Information and Conditions;

  • Quality Agreement has the meaning set forth in Section 9.6.

  • Contract Manufacturer means a company that produces goods under contract for another company under the label or brand name of that company.
