Material Improvements definition

Material Improvements have the meanings set forth in Section 7.1.
Material Improvements means any Improvements which cost in excess of $15,000,000. If Lessor’s consent is required hereunder, Lessor shall provide written notice to Lessee of Lessor’s acceptance or rejection of any proposed construction or material alteration within thirty (30) days after Lessor’s receipt of the written request for such consent and adequate written explanation and supporting written information respecting the proposed construction or material alteration. In no way shall Lessee act or represent to any contractor, subcontractor, materialman, supplier or laborer that it is acting on behalf of or as agent of Lessor with regard to any construction, maintenance, repair or other work whatsoever on or about the Premises.
Material Improvements has the meaning set forth in Section 10 of Exhibit C, Part 2.

  • No construction for Material Improvements may commence until the foregoing consent is obtained.

Material Improvements means improvements made to—
Material Improvements means improvements made to a house, with the prior written consent of the housing authority concerned, by one or both, as appropriate, of the tenant prior to purchase under this Part and the purchaser, whether such improvements were for the purposes of extending, enlarging, repairing or converting the house, but does not include—
Material Improvements means the buildings, improvements, structures and fixtures now or subsequently located on the Real Estate Assets that are used in connection with the business of Company or any of its Subsidiaries and are material to the operation thereof.
Material Improvements means all preparation and processing plants, load-outs and other loading facilities, rail facilities, blending facilities, storage facilities, impoundments, embankments, slopes, shafts, mine openings, and any other building or structure if such other building or structure has a replacement cost in excess of $500,000.
Material Improvements has the meaning ascribed to such term in Section 2.12(c).
Material Improvements if either such Improvements or the construction thereof: (i) will adversely affect the structural integrity of the Building or any of its exterior walls, roof, supporting beams, columns, floor slabs or foundations; or (ii) will affect the outside appearance of the Building, be visible from the ground anywhere outside the Building, or be visible in the Building outside of the demised premises; or (iii) will (y) affect the heating, ventilating and air-conditioning ("HVAC"), electrical, fire protection, plumbing, mechanical, life safety or elevator systems of the Building other than the distribution portions of those systems located within the demised premises and exclusively serving, and which effect is confined to, the demised premises (for the consequences of which effect on the demised premises Landlord shall have no responsibility hereunder) or (z) increase Landlord's costs of providing Building services unless Tenant expressly agrees in writing to reimburse Landlord for such increases in costs on such basis as shall be reasonably acceptable to Landlord and Tenant; or (iv) will result in a change to, or revocation, suspension or loss of, the certificate of occupancy or any other permit or license for operating and using any portion of the Building, unless only Tenant's occupancy would be affected thereby, in which event such Improvements shall not be deemed as falling within the definition of the term Material Improvements solely by virtue of such effect and Tenant shall restore, at Tenant's sole cost and expense, said certificate of occupancy or permits upon completion of the Improvements; or (v) will involve the use of the Building fire exits and stairwells for ingress and egress to the demised premises.
