Exercise Outside Date definition

Exercise Outside Date means October 31, 2023 or such later date as may be agreed to in writing by the Parties.

  • The completion of the Canopy Capital Reorganization shall occur no later than the Exercise Outside Date.

  • Exercise Period means the period commencing on the Issuance Date and ending on 5:00 p.m. eastern standard time on the five-year anniversary thereof.

  • Put means the right of the Company to require the Investor to purchase shares of Common Stock, subject to the terms and conditions of this Agreement.

  • Cash Exercise with respect to Warrant Shares; and/or

  • Lock-up Period means the period commencing on the date of the final prospectus relating to the Company’s IPO, and ending on the date specified by the Company and the managing underwriter(s). Such period shall not exceed one hundred eighty (180) days, or such other period as may be requested by the Company or an underwriter to accommodate regulatory restrictions on (i) the publication or other distribution of research reports, and (ii) analyst recommendations and opinions.
