Agreement (1) ction 1.1 of the Arrangement Agreement is deleted, and replaced with the following: Exercise Outside Date 9, 2024 or such later date as may be agreed to in writing by the Parties.
Outside Date has the meaning set forth in Section 8.1(b).
Put Right has the meaning set forth in Section 8.05(a).
New Exercise Date means a new Exercise Date if the Administrator shortens any Offering Period then in progress.
Put Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and tender of the specified underlying Securities, to sell such Securities to the writer thereof for the exercise price.
Conversion Right has the meaning set forth in Section 4.05(a) hereof.
Exercise Time means 5.00 p.m. (local time in Frankfurt am Main, Germany);
Call Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities.
Option Exercise Period has the meaning set forth in Section 5.3(c).
Extension Option shall have the meaning set forth in Section 2.5(c) hereof.
Rights Offering Amount means $300,000,000.
Exercise Period means the period commencing on the Issuance Date and ending on 5:00 p.m. eastern standard time on the five-year anniversary thereof.
Put means the right of the Company to require the Investor to purchase shares of Common Stock, subject to the terms and conditions of this Agreement.
Cash Exercise with respect to Warrant Shares; and/or
