Exercising Caution definition

Exercising Caution. To help prevent unauthorized transactions on your account, you should be careful about giving someone your account number. You are required to notify us immediately of any unauthorized activity on your account. As noted in this Agreement, your failure to review your bank statement in a timely manner or to safeguard your account information could result in losses to you.

Related to Exercising Caution

  • Exercise means a Holder’s right to exercise the Securities, in accordance with Product Condition 3;

  • Exercise Any Secured Creditor Remedies or “Exercise of Secured Creditor Remedies” shall mean, except as otherwise provided in the final sentence of this definition:

  • attorney-client privilege means the protection that applicable law provides for confidential attorney-client communications; and

  • Exercise Event shall have the meaning ascribed to such term in Section 2(c).

  • Cash Exercise with respect to Warrant Shares; and/or

  • Exercise Right means the Exercise Right as specified in § 3 (1) of the Special Conditions.

  • Customer Due Diligence means a process which involves establishing the identity of a client, the identity of the client’s beneficial owners in respect of legal persons and monitoring all transactions of the client against the client’s profile;

  • Conversion Right has the meaning set forth in Section 4.05(a) hereof.

  • Financial Transmission Right Option means a right to receive Transmission Congestion Credits as specified in Operating Agreement, Schedule 1, section 5.2.2(c), and the parallel provisions of Tariff, Attachment K-Appendix, section 5.2.2(c).

  • Broker Exercise Notice means a written notice pursuant to which a Participant, upon exercise of an Option, irrevocably instructs a broker or dealer to sell a sufficient number of shares or loan a sufficient amount of money to pay all or a portion of the exercise price of the Option and/or any related withholding tax obligations and remit such sums to the Company and directs the Company to deliver stock certificates to be issued upon such exercise directly to such broker or dealer.

  • Customer Default has the meaning set out in clause 8.3.

  • Remedies means actions designed to restore or preserve the complainant’s equal access to education after a respondent is found responsible. Remedies may include the same individualized services that constitute supportive measures, but need not be non-punitive or non-disciplinary, nor must they avoid burdening the respondent.

  • Net Exercise means a Net Exercise as defined in Section 6.3(b)(iii).

  • Exercise of Secured Creditor Remedies means, except as otherwise provided in the final sentence of this definition:

  • Non-Breaching Party has the meaning set forth in Section 9.2.1.

  • Price Failure means, with respect to a particular date of determination, the VWAP of the Common Stock on any Trading Day during the seven (7) Trading Day period ending on the Trading Day immediately preceding such date of determination fails to exceed the Floor Price (as adjusted for stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions occurring after the date hereof). All such determinations to be appropriately adjusted for any stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions during any such measuring period.

  • Payment Default has the meaning set forth in Section 5.4(a) of the Indenture.

  • Enforcing Party In connection with any Repurchase Request, (i) in the event one or more Requesting Certificateholders or Consultation Requesting Certificateholders has delivered a Final Dispute Resolution Election Notice with respect thereto pursuant to Section 2.03(g) of this Agreement, with respect to the mediation or arbitration that arises out of such Final Dispute Resolution Election Notice, such Requesting Certificateholder(s) and/or Consultation Requesting Certificateholder(s), or (ii) in all other cases, the Enforcing Servicer.

  • Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.

  • Privilege means any privilege that may be asserted under applicable law, including, any privilege arising under or relating to the attorney-client relationship (including the attorney-client and work product privileges), the accountant-client privilege and any privilege relating to internal evaluation processes.

  • Notice Event means any of the events enumerated in paragraph (b)(5)(i)(C) of the Rule and listed in Section 4(a) of this Disclosure Agreement.

  • Cashless Exercise means a Cashless Exercise as defined in Section 6.3(b)(i).

  • Breaching Party has the meaning set forth in Section 12.2.

  • Exercise Amount has the meaning set forth in Section 2(a).
