Existing Charters means, together:
Existing Charters means each of the time charters existing on the Issue Date with respect to the Existing Mortgaged Vessels, as each such time charter is amended through the Issue Date and as each such time charter may be amended, modified, supplemented, replaced, extended or renewed from time to time in compliance with clause (7) of the “Transactions with Affiliates” covenant.
Existing Charters means the royal charter of 1681 incorporating the Company and ratified by an Act of the Parliament of Scotland in 1693 and the royal charter of 1777;

Other than the Existing Charters, none of the Vessels is subject to any bareboat charter, time charter, any other charter, or any master transportation services agreement (or any similar contract) for the employment thereof with a remaining term (including renewals) in excess of sixty (60) days.
No Owner shall enter into any agreement or arrangement for the sharing of any Earnings (other than any arrangements for the sharing of Earnings included in the Existing Charters).
The Joint Global Coordinators shall have received true and correct certified copies (together with any amendments) of all Material Contracts entered into by the Borrowers and the other Borrower Group Parties, including, but not limited to, the Existing Charters and any other Collateral Vessel Contracts.
It shall not deliver any Vessel owned by it to any charterer (including, without limitation, any time charterer) for use under any charter (other than the Existing Charters) (including, without limitation, any time charter) until after the Vessel Mortgage covering such Vessel has been filed with NVDC.
Each of the Existing Charters shall be in full force and effect and shall not have been terminated by any party thereto, and Sellers shall execute and deliver to Purchaser a certificate, dated as of the Closing Date and signed by an authorized officer of Sellers, certifying that same.
More Definitions of Existing Charters
Existing Charters means each of the time charters existing on the date of this Agreement with respect to the Existing Vessels, as each such time charter is amended through the date of this Agreement and as each such time charter may be amended, modified, supplemented, replaced, extended or renewed from time to time in compliance with paragraph 1.1.
Existing Charters means the charters for each Vessel made between the relevant Owner and the relevant Charterer listed in Schedule 1 (together with any option periods) and each a "Charter".
Existing Charters. Vessel A Charter: A Time Charter Agreement with BG Group at a daily hire rate of $85,000 and earliest expiration date in April 2017. Vessel B Charter: A Time Charter Agreement with BG Group at a daily hire rate of $64,000 and earliest expiration date in September 2016. Vessel C Charter: A Time Charter Agreement with Gazprom at a daily hire rate of $86,000 and earliest expiration date in September 2017. Lender and Swap Bank: CREDIT SUISSE AG, Switzerland. Facility Amount: Up to $262,125,000 in aggregate. Drawdowns: Available in multiple drawings but not more than 4 (four) drawdowns each year, subject always to compliance with the Asset Cover Ratio and all other covenants. Purpose: Available for re-financing 100% of the existing indebtedness of Vessel A and Vessel B and for financing Vessel C.
Existing Charters means the charters and other contracts listed on Schedule 10.1(c) hereto.

LTD with respect to Vessel C, (iv) that certain LNG Carrier Time Charterparty, dated as of August 2, 2011, by and between the Xxxx River Subsidiary and Gazprom Global LNG Limited with respect to Vessel D, (v) the Xxxx River Yamal Charter, (vi) that certain LNG Carrier Time Charterparty, dated as of August 2, 2011, by and between the Ob River Subsidiary and Gazprom Global LNG Limited with respect to Vessel E, (vii) that certain LNG Carrier Time Charterparty, dated as of March 24, 2016, by and between the Ob River Subsidiary and Gazprom Marketing and Trading Singapore PTE. LTD with respect to Vessel E, (viii) that certain LNG Carrier Time Charterparty, dated as of August 2, 2011, by and between the Yenisei River Subsidiary and Gazprom Global LNG Limited with respect to Vessel F and (ix) the Yenisei River Yamal Charter.
Existing Charters means the Initial Charter and the Subsequent Charter, and “Existing Charter” means either of them. “Facility Period” means the period beginning on the date of this Agreement and ending on the date when the whole of the Indebtedness has been paid in full and the Security Parties have ceased to be under any further actual or contingent liability to the Lender under or in connection with the Finance Documents. “Final Maturity Date” means the date falling on the earlier of (a) ten (10) years from the date of this Agreement and (b) 31 May 2018. “Finance Documents” means this Agreement, the Master Agreement, the Security Documents and any other document designated as such by the Lender and the Borrower and “Finance Document” means any one of them. “Financial Indebtedness” means any obligation for the payment or repayment of money, whether present or future, actual or contingent, in respect of: (a) moneys borrowed; (b) any acceptance credit; (c) any bond, note, debenture, loan stock or similar instrument; (d) any finance or capital lease; (e) receivables sold or discounted (other than on a non-recourse basis); (f) deferred payments for assets or services;
Existing Charters means each of the charters listed on Section 1.01(EC) of the Sellers Disclosure Schedule. “Financing Uses” means (a) the payment of the Seller Payments, (b) the payment of any and all fees and expenses required to be paid by Purchaser in connection with the Closing and the Financing, (c) the payment or any refinancing of any Specified Closing Date Indebtedness in full, including all fees and expenses related thereto and (d) the satisfaction all of the other payment obligations of Purchaser contemplated hereunder. “Fraud” means fraud as defined under the Laws of the State of New York (which, for the avoidance of doubt, does not include constructive fraud or other claims based on constructive knowledge, negligent misrepresentation, recklessness or similar theories) with respect to breaches of representations and warranties expressly set forth in Article III or Article IV of this Agreement. “GAAP” means generally accepted accounting principles in the United States, in effect from time to time. “Golar Igloo Charter” means that certain FSRU Charter, by and between Xxxxx Xxxx M2301 Corporation (or one of its Affiliates), as Owner, and EemsEnergyTerminal B.V., as Charterer, that is consistent with the Heads of Agreement and Term Sheet, dated May 9, 2022, for a five year FSRU Charter by and between Xxxxx Xxxx M2031 Corporation, as Owner, and EemsEnergyTerminal, as Charterer, in respect of the Golar Igloo. “Xxxxx Xxxxx Charter” means that certain Time Charter Party, dated October 18, 2019, by and between Golar LNG 2234 LLC, as Owners, and Cheniere Marketing International LLP, as Charterer, in respect of the Xxxxx Xxxxx. “Xxxxx Nanook Charter” means that certain Bareboat Charter, dated March 23, 2018, by and between Golar Nanook UK Limited, as Owner, and Centrais Elétricas de Sergipe S.A, as Charterer, in respect of the Golar Nanook. “Golar Operating” means Golar Partners Operating LLC, a Xxxxxxxx Islands limited liability company. “Golar Operating Group” means Golar Operating and each of its Subsidiaries as of the Execution Date other than the Contributed Group and the Excluded Entities. “Golar Winter” means Golar Winter Corporation, a Xxxxxxxx Islands corporation (or any successor to Golar Winter Corp, including the entity referred to as “Golar Winter CorpDRE (Xxxxxxxx Islands)” in Section 5.10 of the Sellers Disclosure Schedule). “Golar Winter Charter” means that certain Time Charter Party, dated September 4, 2007, by and between Golar Winter UK Limited, as Owner...
