Owned IP definition

Owned IP means all of the Intellectual Property owned, or purported to be owned, by a Credit Party or any Subsidiary of a Credit Party.

Owned IP means Seller’s IP, other than IP licensed to Seller pursuant to an Inbound License.

Owned IP shall have the meaning set forth in Section 4.1.37(b) hereof.

Examples of Owned IP in a sentence

• None of the Software included in the Aebi Xxxxxxx Owned IP is subject to any agreement with any Person under which Xxxx Xxxxxxx or any of its Subsidiaries has deposited, or could be required to deposit, into escrow the source code of such Software and no such source code has been released to any Person, or is entitled to be released to any Person, by any escrow agent.

• None of the material Xxxx Xxxxxxx Owned IP has been adjudged invalid or unenforceable.

• None of the material Shyft Owned IP has been adjudged invalid or unenforceable.

• The consummation of the Transactions and the Debt Financing will not alter, encumber, impair or extinguish any Aebi Xxxxxxx Owned IP or encumber any material Intellectual Property licensed to Aebi Xxxxxxx or any of its Subsidiaries.

• None of the Software included in the Shyft Owned IP is subject to any agreement with any Person under which Shyft or any of its Subsidiaries has deposited, or could be required to deposit, into escrow the source code of such Software and no such source code has been released to any Person, or is entitled to be released to any Person, by any escrow agent.

More Definitions of Owned IP

Owned IP means the Intellectual Property (a) owned or purported to be owned by the Acquired Companies as of the date of this Agreement, which shall include all Intellectual Property set forth or required to be set forth in Schedule 4.11(a) of the Seller Disclosure Schedule or (b) owned by Seller or its Controlled Affiliates (other than the Acquired Companies) and transferred to an Acquired Company at or prior to the Closing.

Owned IP means the Intellectual Property Rights owned by the Group Companies;

Owned IP means the registered and material unregistered Intellectual Property Rights owned by the Target Companies. The registered Owned IP is listed in Folder K of the Data Room;
