Owned IP definition

Owned IP means all of the Intellectual Property owned, or purported to be owned, by a Credit Party or any Subsidiary of a Credit Party.
Owned IP shall have the meaning set forth in Section 4.1.37(b) hereof.
Owned IP means Seller’s IP, other than IP licensed to Seller pursuant to an Inbound License.

  • None of the Owned IP or First Party Licensed IP, or to the Selling Parties’ Knowledge, the Third Party Licensed IP, is the subject of any Order, settlement or other disposition of any dispute that restricts or impairs the Company’s use or exploitation of the Company IP, now or in the future.

  • None of the Owned IP or First Party Licensed IP or, to the Selling Parties’ Knowledge, the Third Party Licensed IP, has been held to be invalid or unenforceable in a court decision that is not appealed or non-appealable by the Company or the Selling Parties or any of their respective Affiliates, or by any Third Party licensor thereof.

  • The Owned IP includes any and all Intellectual Property exclusively related to the Company Business.

  • Parent and its Subsidiaries own, or have rights to use, all patents, patent applications, trademarks, trademark applications, service marks, trade names, trade dress, trade secrets, know-how, software, inventions, Copyrights, licenses and other intellectual property rights that are necessary or required for, or used in connection with their respective businesses as presently conducted (collectively, the “Parent Owned IP Rights”).


More Definitions of Owned IP

Owned IP means the Intellectual Property (a) owned or purported to be owned by the Acquired Companies as of the date of this Agreement, which shall include all Intellectual Property set forth or required to be set forth in Schedule 4.11(a) of the Seller Disclosure Schedule or (b) owned by Seller or its Controlled Affiliates (other than the Acquired Companies) and transferred to an Acquired Company at or prior to the Closing.
Owned IP shall have the meaning set forth in Section 3.12(a).
Owned IP means the registered and material unregistered Intellectual Property Rights owned by the Target Companies. The registered Owned IP is listed in Folder K of the Data Room;
Owned IP means all Technology that is owned by the Company, together with all Intellectual Property Rights therein.
Owned IP means all Intellectual Property owned or purported to be owned by any Group Company, including the Registered IP.
Owned IP shall have the meaning set forth in Section 6.2(a) of the Management Agreement.
