Owned IP definition

Owned IP means all of the Intellectual Property owned, or purported to be owned, by a Credit Party or any Subsidiary of a Credit Party.
Owned IP means the Intellectual Property Rights owned by the Group Companies;
Owned IP means Seller’s IP, other than IP licensed to Seller pursuant to an Inbound License.

Examples of Owned IP in a sentence

  • Southern (i) is the sole and exclusive owner of all right, title and interest in and to the Owned IP, in each case free and clear of any Liens (other than Permitted Liens); and (ii) has a valid and enforceable license or other rights to use all Licensed IP.

  • Neither the Company nor any of its Subsidiaries has dedicated to the public or otherwise allowed to fall into the public domain any material Owned IP.

  • The Company has paid all registration, maintenance and renewal fees when due and has made all filings required to maintain its ownership of, and the validity and enforceability of, the Owned IP Registrations.


More Definitions of Owned IP

Owned IP means the Intellectual Property (a) owned or purported to be owned by the Acquired Companies as of the date of this Agreement, which shall include all Intellectual Property set forth or required to be set forth in Schedule 4.11(a) of the Seller Disclosure Schedule or (b) owned by Seller or its Controlled Affiliates (other than the Acquired Companies) and transferred to an Acquired Company at or prior to the Closing.
Owned IP shall have the meaning set forth in Section 4.1.37(b) hereof.
Owned IP means the registered and material unregistered Intellectual Property Rights owned by the Target Companies. The registered Owned IP is listed in Folder K of the Data Room;
