EXPENSES ASSUMED BY THE TRUST. Except as otherwise specifically stated in this Agreement, GFS shall pay all expenses incurred by it in performing the Services under this Agreement. Each Fund of the Trust will bear out-of-pocket expenses incurred by GFS under this Agreement and all other expenses incurred in the operation of the Fund (other than those borne by the investment adviser to the Fund) including, but not limited to: (a) taxes; (b) interest; (c) brokerage fees and commissions, if any; (d) fees for Trustees who are not officers, directors, partners, employees or holders of five percent (5%) or more of the outstanding voting securities of the investment adviser or GFS; (e) Securities and Exchange Commission fees (including XXXXX filing fees); (f) state blue sky registration or qualification fees; (g) advisory fees; (h) charges of custodians; (i) transfer and dividend disbursing agents' fees; (j) insurance premiums; (k) outside auditing and legal expenses; (l) costs of maintaining trust existence; (m) costs attributable to shareholder services, including without limitation telephone and personnel expenses; (n) costs of preparing and printing prospectuses for regulatory purposes; (o) costs of shareholders' reports, Trust meetings and related expenses; (p) Trust legal fees; and (q) any extraordinary expenses.

Without limiting the generality of the foregoing, the Trust shall pay or arrange for the payment of the following: a. any of the costs of printing and mailing all registration statements and prospectuses, all annual, semiannual and periodic reports to shareholders of the Trust, regulatory authorities or others, all notices and proxy solicitation materials furnished to shareholders of the Trust or regulatory authorities and all tax returns; b. compensation of the officers and Trustees of the Trust other than those enumerated in (2.)(c.)(iii.); c. registration, filing and other fees in connection with requirements of applicable state and federal regulatory authorities; d. the charges and expenses of the custodian appointed by the Trust for custodial services; e. the charges and expenses of the independent accountants retained by the Trust; f. the charges and expenses of any administrative, transfer, bookkeeping, fund accounting, and compliance testing services, and dividend disbursing agents appointed by the Trust; g. broker's commissions and issue and transfer taxes chargeable to the Trust in connection with securities transactions to which the Trust is a party; h. taxes and corporate fees payable by the Trust to federal, state or other governmental agencies; i. the cost of stock certificates, if any, representing shares of the Trust; j. legal fees and expenses in connection with the affairs of the Trust, including registering and qualifying its shares with regulatory authorities; k. association membership dues if any; l. insurance premiums for fidelity and other coverage; m. expenses of shareholders and Trustees' meetings; n. pricing shares of the Trust's Funds; o. interest on borrowings; and p. litigation expenses.
EXPENSES ASSUMED BY THE TRUST. (a) Notwithstanding anything herein to the contrary, the Trust shall be responsible for paying its own expenses relating to the operation of the Trust or any of the Funds, including without limitation: (i) taxes payable by the Trust or any of the Funds; (ii) interest payable by the Trust or any of the Funds; (iii) brokerage fees and commissions payable by the Trust or any of the Funds; (iv) fees for trustees who are not “interested persons” of the Trust (as such term is defined in the 1940 Act); (v) SEC registration and filing fees (including EXXXX filing fees); (vi) state blue sky registration or qualification fees; (vii) advisory fees; (viii) custodian fees; (ix) transfer and dividend disbursing agents' fees; (x) insurance premiums; (xi) outside auditing expenses; (xii) costs of maintaining the Trust’s legal existence; (xiii) costs of preparing, printing and distributing prospectuses for regulatory purposes; (xiv) costs of preparing, printing and distributing shareholders' reports; (xv) costs of holding Board and shareholders meetings; (xvi) Trust legal fees; and (xvii) any extraordinary expenses incurred by the Trust or any Fund. (b) To the extent GFS advances any expenses on behalf of the Trust or any Fund that are properly payable by the Trust pursuant to this Section 5, RCS shall cause GFS to be reimbursed for such advances in accordance with the provisions of Section 3(b) above.
