Extended Exercise Period definition

Extended Exercise Period means the period that begins on the date of retirement and ends on the expiration date of the Option.
Extended Exercise Period means the period ending on the later of (i) the 90th day following (as applicable) the Optionee’s Date of Termination or the Sale of a Business where the Optionee is employed by the Sold Business and is not offered employment with a Retained Business on substantially similar terms and conditions (or the one year anniversary of the Optionee’s Date of Termination in the case of a termination resulting from Disability or death) and (ii) the earlier of (A) a Change of Control or (B) the 30th day after an IPO (or, if Optionee is subject to an IPO lock-up, the 30th day after the expiration of the lock-up); provided that in all cases the Extended Exercise Period shall end no later than the Final Exercise Date;
Extended Exercise Period means the period that begins on the date of retirement and ends on the expiration date of the Option. The foregoing provisions of this Section 16(a) and the provisions of Section 11(b) of the Plan shall not apply to this Option, and the Optionee shall not be deemed to have terminated employment in a Qualifying Retirement at such time as his or her employment terminates, if at the time of the grant of this Option the Optionee is a resident of the United Kingdom or the application of such provisions would otherwise violate applicable law because of the age requirement included in the Qualifying Retirement definition.

  • Upon the expiration of the Extended Exercise Period, all of Executive’s outstanding and unexercised Stock Options shall be immediately cancelled.

  • The parties agree that the attached Appendix D may be modified and updated upon a vote of the Board of Directors, only in order for the Board to add to Appendix D certain future awards that the Board agrees shall also qualify for acceleration and the Extended Exercise Period.

More Definitions of Extended Exercise Period

Extended Exercise Period means the period that begins on the date of retirement and ends on the expiration date of the Option; provided, however, (i) if at any time during the Extended Exercise Period, the Optionee fails to remain in Good Standing, any portion of this Option then outstanding and held by the Optionee shall be forfeited and of no force or effect; and (ii) if the Optionee dies during the Extended Exercise Period and while in Good Standing, this Option will thereafter be exercisable, to the extent exercisable by the Optionee on the date of his death, at the same times (for so long and only so long after the Optionee’s death) as if the Optionee had continued in the service of the Company through the date of the Optionee’s death. The foregoing provisions of this Section 16(a) and the provisions of Section 11(b) of the Plan shall not apply to this Option, and the Optionee shall not be deemed to have terminated employment in a Qualifying Retirement at such time as his or her employment terminates, if at the time of the grant of this Option the Optionee is a resident of the United Kingdom (other than a US expatriate then residing in the United Kingdom) or the application of such provisions would otherwise violate applicable law because of the age requirement included in the Qualifying Retirement definition.

  • Option Term means a period, if any, through which this Agreement may be or has been extended by the JBE.

  • Option Exercise Price means the price at which a share of Common Stock may be purchased upon the exercise of an Option.
