Failure to Comply with the 1934 Act. If, at any time during the period beginning on the date that is 60 days from the Issue Date and ending on the date of full repayment or full conversion of all amounts owed under this Note, the Borrower shall fail to comply with the reporting requirements of the 1934 Act and/or the Borrower shall cease to be subject to the reporting requirements of the 1934 Act.

Failure to Comply with the 1934 Act. The Company shall (i) fail within ten (10) calendar days of the Closing Date, to file (a) its Quarterly Report on Form 10-Q/A for the quarterly period ended September 30, 2020; and (b) its Annual Report on Form 10-K for the fiscal year ended December 31, 2020; (ii) fail to file all 10-Qs and 10-Ks within the time periods required by the 1934 Act; or (c) cease to be subject to the reporting requirements of the 0000 Xxx.
Failure to Comply with the 1934 Act. So long as the Investor beneficially owns the Notes, the Company shall comply with the periodic reporting requirements of the 1934 Act; and the Company shall continue to be subject to the reporting requirements of the 1934 Act.
