FCC Approvals as defined in Section 6.4. -------------

FCC Approvals shall have the meaning given to such term in Section 3(b).

• The Debtors, the Senior Lenders and any other Holders of Claims that are eligible to receive New Common Stock shall use their best efforts to cooperate in diligently pursuing and in taking all reasonable steps necessary to obtain the requisite FCC Approvals and shall provide such additional documents or information as are reasonably requested by the Debtors or the Proponents or that the Debtors or the Proponents reasonably deem necessary for the FCC’s review of such applications.

• The Debtors, the Senior Lenders and any other Holders of Claims that are eligible to receive New Common Stock shall use their best efforts to cooperate in diligently pursuing and in taking all reasonable steps necessary to obtain the requisite FCC Approvals and shall provide such additional documents or information as are reasonably requested by the Debtors or the Proponents or that the Debtors or the Proponents reasonably deem necessary for the FCC's review of such applications.

• No FCC Approvals shall have been withdrawn, reversed, stayed, enjoined, annulled, terminated or otherwise suspended prior to the Auto Conversion Effective Time.

• Notwithstanding any provisions contained herein to the contrary, if prior approvals must be obtained from the Federal Communications Commission (the "FCC Approvals"), (1) no stockholder shall possess any voting rights except as permitted by law; (2) no stockholder may nominate, appoint or designate any member of the Board of Directors; and (3) no stockholder shall be entitled to exercise any conversion rights or voting rights, until the FCC Approvals have been obtained.

More Definitions of FCC Approvals

FCC Approvals means the consents or approvals required from the FCC with respect to the transactions contemplated hereby.

FCC Approvals means, as set forth in Section 1.01(i) of the Uniti Disclosure Schedule, the approvals, consents, waivers, declaratory rulings or other authorization from the FCC for the Transactions other than the Pre-Closing Windstream Reorganization.

FCC Approvals means the applications and filings required in connection with or in compliance with the rules and regulations of the FCC.

FCC Approvals has the meaning given in Article II, Section 2(a) (Spectrum Use Agreement).

FCC Approvals means collectively the DISH FCC Approvals and the EchoStar FCC Approvals.

FCC Approvals shall have the meaning specified in Subsection 2.G(2).

FCC Approvals has the meaning set forth in Section 7.3(e).
