Feeder Fund Shares definition

Feeder Fund Shares means the Euro class non-voting redeemable preference shares of EUR0.001 each issued by the Feeder Fund;
Feeder Fund Shares means the U.S dollar class non-voting redeemable preference shares with a par value of EUR0.001 each issued by the Feeder Fund;
Feeder Fund Shares means the Class A (euro) non-voting redeemable preference shares each with a par value of EUR0.001 and each issued by the Feeder Fund to the Note Issuer;

Examples of Feeder Fund Shares in a sentence

  • Where Shares in a PAIF Fund are Exchanged for units in a Feeder Fund, Shares in the PAIF Fund will be redeemed at the price of such Shares calculated in accordance with this Prospectus and units in the Feeder Fund will be issued at the price of units in the Feeder Fund calculated in accordance with its prospectus.

  • In certain circumstances, the Feeder Fund is entitled to withhold part of the redemption proceeds in respect of Feeder Fund Shares for up to three months from the date on which a redemption request is deemed to have commenced in respect of such Feeder Fund Shares.

  • The issue proceeds of any Further Notes shall be invested in Feeder Fund Shares and/or Eligible Investments as agreed with the Principal Protection Provider.

  • If the Notes fall due for redemption prior to the Scheduled Maturity Date, the Early Redemption Date on which the Notes shall be redeemed will be dependent on the date on which the proceeds of redemption of any Feeder Fund Shares are received by the Issuer.

  • In addition, if the Notes fall due for redemption, the Issuer is required under the terms of the Determination Agency Agreement to request the redemption in accordance with the provisions of the Subscription and Redemption Agreement of all Feeder Fund Shares included in the Basket in sufficient time prior to the due date for redemption of the Notes to allow the Issuer to redeem the Notes.

  • The Directors are entitled to allot Shares for cash or otherwise and classify such Shares as Feeder Fund Shares of any class or Cash Fund Shares or as Shares of such other classes as they may determine.

  • At the date of this Registration Document, the authorised share capital of the Company comprises an unlimited number of Shares of no par value (which upon issue the Directors may classify as Feeder Fund Shares of any class or Cash Fund Shares or as Shares of such other classes as the Directors may determine) and 100 Management Shares of no par value.

  • The proceeds of the issue of the Notes will be invested in Feeder Fund Shares at such time after the Issue Date as the Principal Protection Provider shall determine in its discretion.

  • Subject to paragraph 3.11.11, a Shareholder may elect to convert Feeder Fund Shares of any class into Cash Fund Shares, or vice versa, on any Share Conversion Date.

  • Subject to paragraph 2.11.11, a Shareholder may elect to convert Feeder Fund Shares of any class into Cash Fund Shares, or vice versa, on any Share Conversion Date.

Related to Feeder Fund Shares

  • Feeder Fund means a Sub-Fund which invests all or substantially all of its assets in securities which are units or sub-units in a unit trust scheme or participations in a mutual fund or other interests in a collective investment scheme which is managed or advised by the Managers or any Associate of the Managers and whose investment policy is the same or substantially the same as such Sub-Fund.

  • Fund Shares means any Securities issued by an investment company registered under the Investment Company Act of 1940.

  • Class B Shares means the Class B ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class B Shares, and having the rights provided for in these Articles.

  • Common Unitholder means a Member who is the registered holder of Common Units.

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Fund Share means the share, unit, or other evidence of ownership in a Permissible Investment.

  • Class B Stock means Class B Stock, par value $1.00 per share, of the Company.

  • Class A Shareholder means a holder of Class A Shares;

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Pre-Funded Warrant Shares means the shares of Common Stock issuable upon exercise of the Pre-Funded Warrants.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Class B Units means the Class B Units of the Company.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Reference Shares means, in respect of the exercise of Conversion Rights by a Bondholder, the number of Shares (rounded down, if necessary, to the nearest whole number of Shares) determined in good faith by the Calculation Agent by dividing the aggregate principal amount of the Bonds being the subject of the relevant exercise of Conversion Rights by the Conversion Price in effect on the relevant Conversion Date, except that where the Conversion Date falls on or after the date an adjustment to the Conversion Price takes effect pursuant to Sections 5.4(a)(i), (ii), (iv), (v), (vi), (viii), (ix) or (x) in circumstances where the relevant Delivery Date falls on or prior to the record date or other due date for establishment of entitlement in respect of the relevant event giving rise to such adjustment, then the Conversion Price in respect of such exercise shall be such Conversion Price as would have been applicable to such exercise had no such adjustment been made.

  • Preference Shares means the Preference Shares in the capital of the Company of $0.0001 nominal or par value designated as Preference Shares, and having the rights provided for in these Articles.

  • Class A Common Shares means the Class A common shares of the Company, par value US$0.00001 per share, at the date of this Indenture, subject to Section 14.07.

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Subco Shares means the common shares in the capital of Subco;

  • Class A Shares means the Class A ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class A Shares, and having the rights provided for in these Articles.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Pre-Funded Warrant means, collectively, the Pre-Funded Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Pre-Funded Warrants shall be exercisable immediately and shall expire when exercised in full, in the form of Exhibit B attached hereto.

  • Purchase Contract Settlement Fund has the meaning specified in Section 5.5.

  • Preferred Shareholder means any holder of Preferred Shares.
