Filing of Final Prospectus. The Company will file the Prospectus (in form and substance satisfactory to the Representative) with the Commission pursuant to the requirements of Rule 424 of the Regulations.
Filing of Final Prospectus. The Company will file the IPO Prospectus (in form and substance satisfactory to the Representative) and the Market Making Prospectus (in form and substance satisfactory to the Representative) with the Commission pursuant to the requirements of Rule 424 of the Regulations.
Filing of Final Prospectus. The Company will file the U.S. Prospectus (in form and substance satisfactory to the Representative) with the Commission pursuant to the requirements of Rule 424. The Company will file the Canadian Prospectus with the Canadian Authorities in accordance with Canadian Securities Laws not later than 12:00 P.M., New York City time, on the date hereof (or such later date as may be determined by the Company and the Representative) and shall use its commercially reasonable effort to obtain a final Passport System decision document from the Reviewing Authority on behalf of itself and the other Canadian Authorities.
Filing of Final Prospectus. The Company shall prepare the Prospectus in a form approved by the Representative and file such Prospectus pursuant to Rule 424(b) under the Act not later than the Commission’s close of business on the second business day following the execution and delivery of this Agreement, or, if applicable, such earlier time as may be required by the Regulations.
Filing of Final Prospectus. The Final Prospectus shall have been filed with the Commission in accordance with the Rules and Regulations and Section 5(a) hereof. No stop order suspending the effectiveness of a Registration Statement or of any part thereof shall have been issued and no proceedings for that purpose shall have been instituted or, to the knowledge of any Selling Stockholder, the Company or the Representative, shall be contemplated by the Commission.
Filing of Final Prospectus. If required, the Company will file the Prospectus (in form and substance satisfactory to the Representative) with the Commission (including the information required by Rule 430A of the Regulations) pursuant to the requirements of Rule 424 of the Regulations; or the Company shall file a post-effective amendment to the Registration Statement (in form and substance satisfactory to the Underwriters) containing the information required by such Rule 430A; or, if the Company elects to rely upon Rule 434 of the Regulations and obtains the Representative's consent thereto, the Company shall file a term sheet with the Commission in the manner and within the time period required by Rule 424(b) of the Regulations.
Filing of Final Prospectus. The Company will file the Prospectus (in form and substance reasonably satisfactory to the Representative) with the Commission pursuant to the requirements of Rule 424 of the Regulations. If the Company elects to rely on Rule 462(b) of the Regulations, the Company shall file a Rule 462(b) Registration Statement by 10:00 P.M., New York time, on the date of this Agreement, and the Company shall at the time of filing either pay to the Commission the filing fee for the Rule 462(b) Registration Statement or give irrevocable instructions for the payment of such fee pursuant to Rule 111(b) of the Regulations.
Filing of Final Prospectus. If Rule 430A is used or the filing of the Prospectus is otherwise required under Rule 424(b), the Company will file the Prospectus (in form and substance satisfactory to the Underwriters) with the Commission pursuant to the requirements of Rule 424(b) of the Regulations within the prescribed time period and will provide evidence satisfactory to the Underwriters of such timely filing.

The Company will file the Prospectus (in form and substance reasonably satisfactory to the Representative) with the Commission pursuant to the requirements of Rule 424 that discloses the information previously omitted from the prospectus in the Registration Statement in reliance upon Rule 430A, which information will be deemed retroactively to be a part of the Registration Statement in accordance with Rule 430A.
