Final Net Settlement Amount has the meaning given to it in Section 4.4(a). “Final Settlement Date” has the meaning given to it in Section 4.4(b).
Final Net Settlement Amount means the sum of the Settlement Amounts, provided that (i) in the event the sum of the Settlement Amounts is positive, it shall be reduced by any amount received by the non-defaulting party (if any) to the extent the non-defaulting party shall exercise its rights to apply Margin delivered by the defaulting party; or (ii) in the event the sum of the Settlement Amounts is negative, it shall be added to the value of any Margin held by the non-defaulting party. If the Final Net Settlement Amount is a positive amount, then such amount shall be owed by the defaulting party to the non-defaulting party; and if the Final Net Settlement Amount is a negative amount, then the absolute value of such amount shall be owed by the non-defaulting party to the defaulting party, subject to the rights of the non-defaulting party to setoff, recoup, withhold or suspend payment as set forth in this Master Agreement or at law.

  • AEMO must determine the Final Net Settlement Amount due and provide to the Auction Participant a statement showing the calculation of the Final Net Settlement Amount (which may be, at the option of AEMO, provided at the same time and as part of the Termination Notice or by separate notice following the Early Termination Date).

  • Net Settlement Amount means the Gross Settlement Amount, less the following payments in the amounts approved by the Court: Individual PAGA Payments, the LWDA PAGA Payment, Class Representative Service Payment, Class Counsel Fees Payment, Class Counsel Litigation Expenses Payment, and the Administration Expenses Payment. The remainder is to be paid to Participating Class Members as Individual Class Payments.

  • Gross Settlement Amount means $633,000.00 which is the total amount Defendant agrees to pay under the Settlement except as provided in Paragraph 9 below. The Gross Settlement Amount will be used to pay Individual Class Payments, Individual PAGA Payments, the LWDA PAGA Payment, Class Counsel Fees, Class Counsel Expenses, Class Representative Service Payment and the Administrator’s Expenses.

  • Maximum Settlement Amount means $500,000,000 as amended or modified in accordance with Appendix E.

  • Physical Settlement Amount For any Settlement Date for which Physical Settlement is applicable, an amount in cash equal to the product of (a) the Forward Price in effect on the relevant Settlement Date multiplied by (b) the Settlement Shares for such Settlement Date.

  • Net Settlement Fund means the Settlement Fund less: (i) Court-awarded attorneys’ fees and expenses; (ii) Notice and Administration Expenses; (iii) Taxes; and (iv) any other fees or expenses approved by the Court.

  • Early Settlement Amount has the meaning specified in Section 5.9(a).

  • TARGET Settlement Day means any day on which TARGET2 is open for the settlement of payments in euro;

  • PJM Settlement or “PJM Settlement, Inc.” shall mean PJM Settlement, Inc. (or its successor), established by PJM as set forth in Operating Agreement, section 3.3.
