Firm Delivery Schedule definition

Firm Delivery Schedule means the (i) for the Initial Term, the Initial Delivery Schedule and (ii) for the Renewal Term, the first [***]of the Renewal Delivery Schedule setting forth firm orders and delivery dates for the Base Vehicles. The quantities of Base Vehicles in the Firm Delivery Schedule will be set forth in one or more Orders.
Firm Delivery Schedule means a forecast system setting out the total number of each and any Products, which VESTAS shall be obliged to order for delivery and which ZOLTEK will be obliged to deliver within a certain fixed period, cf. clause 3.2 in the Second Trade Agreement.

Examples of Firm Delivery Schedule in a sentence

  • If either Party for any given calendar quarter fails to deliver or take delivery respectively of the agreed fixed volume as set out in a Firm Delivery Schedule for such quarter, liquidated damages shall be paid by the non-fulfilling Party as compensation to the other Party (“Capacity-LD’s”).

  • The Parties have agreed that the above capacity LDs will not be applicable to any deliveries which according to the Firm Delivery Schedule should have been made prior to September 30th 2007.

  • However, if the volume of Products not being delivered or purchased respectively for a given quarter exceeds 20 % (twenty percent) of the agreed fixed volume as set out in a Firm Delivery Schedule for such quarter the Capacity LD for such volume in excess of 20% non-fulfilment shall be 35% (thirty five percent) of the purchase value of the volume of Products not being delivered or purchased respectively.

  • Firm Delivery Schedule for 2007-2010 For the calendar years 2007 — 2010 the Parties agree that Appendix A constitutes the Firm Delivery Schedule for the number of Products to be purchased by VESTAS and irrevocably delivered by ZOLTEK to VESTAS in calendar year 2007-2010 and on the weekly and monthly basis as specified in Appendix A.

  • Firm Delivery Schedule for 2011 and onwards No later than on 31 December 2008 the Parties shall negotiate and agree on a Firm Delivery Schedule for 2011.

  • For the sake of good order it is emphasized that VESTAS’ obligations under any Firm Delivery Schedule is subject to the availability and delivery from ZOLTEK of Products fulfilling agreed quality requirements at agreed time of delivery.

  • Moreover, in addition to and independent of the above, if and to the extent a Party does not fulfil its obligations to deliver and/or to purchase/pay respectively in accordance with the scheduled delivery days/weeks set out in an agreed Firm Delivery Schedule, the other Party is without limitation entitled to rely on such other agreed remedies set out in this Second Trade Agreement.

  • Finally, it is emphasized that fulfilment of orders on an agreed Firm Delivery Schedule, cf.

  • Any spot volume orders placed by VESTAS and confirmed by ZOLTEK will for the purpose of this provision only be incorporated into the Firm Delivery Schedule for any relevant calendar quarter and consequently any delay in delivery of such spot volumes shall be taken into account when calculating the above Capacity LD.

  • Nothing herein shall affect the obligation of both Parties to make/take delivery of Products in accordance with an applicable Firm Delivery Schedule.

Related to Firm Delivery Schedule

  • Delivery Schedule means the schedule for the delivery of Services as set forth in attached Annex 3.

  • Calling Name Delivery Service (CNDS means a service that enables a terminating End User to identify the calling Party by a displayed name before a call is answered. The calling Party’s name is retrieved from a calling name database and delivered to the End User’s premise between the first and second ring for display on compatible End User premises equipment.

  • Delivery Location means the Supplier's premises or other location where the Services are to be supplied, as set out in the Order;

  • Service delivery area means the defined geographic area for delivery of program services.

  • Notice Delivery Period means the period from and including the Trade Date, to and including a day that is three (3) Business Days following the date that is 14 calendar days after the Scheduled Termination Date. Section 1.23 (Notice Delivery Period) of the Credit Derivatives Definitions shall be amended accordingly.

  • Price Schedule means the schedules or any part or individual schedule thereof, submitted by the Bidder with his Bid and forming a part of the Contract;

  • Purchase Order Number means the Customer’s unique number relating to the supply of the Services;

  • Delivery Terms as defined in Section 10.1;

  • Delivery Notice Has the meaning specified in the NPA.

  • Firm Order shall have the meaning set forth in Section 5.2.

  • Purchase Order means the form or format a Customer uses to make a purchase under the Contract (e.g., a formal written purchase order, electronic purchase order, procurement card, contract or other authorized means).

  • Project Deliverables means the Project deliverables set out in Schedule 2. Project Material means all the material including but not limited to documents, computer software, and data stored by any means which is created by the Fellow in the course of undertaking the Project.

  • Completion Schedule means the fulfilment of the Related Services by the Supplier in accordance with the terms and conditions set forth in the Contract;

  • Product Schedule means PTC’s standard order form entitled “PTC Product Schedule” (including all schedules, attachments and other document(s) specifically referenced therein) or such alternative order form as may be submitted by Customer and accepted by PTC, in each case that specifies (i) the Licensed Products and/or Services ordered; and (ii) for Licensed Products, the installation address (including the Designated Country) and the Licence Term.

  • Specification Schedule means the Schedule containing details of the Specification.

  • Delivery Term has the meaning set forth in Section 1.1(b).

  • IITK Purchase Order means the IITK’s official Purchase Order document;

  • Contract Schedule means a schedule to this Contract;

  • The Purchase Order means the order placed by the Purchaser on the Supplier signed by the Purchaser including all attachments and appendices thereto and all documents incorporated by reference therein. The purchase order shall be deemed as "Contract" appearing in the document.

  • INTER-CONNECTION POINT/ DELIVERY/ METERING POINT means a single point at 220kV or above, where the power from the Project(s) is injected into the identified ISTS Substation (including the dedicated transmission line connecting the Projects with the substation system) as specified in the RfS document. Metering shall be done at this interconnection point where the power is injected into. For interconnection with grid and metering, the WPDs shall abide by the relevant CERC/ SERC Regulations, Grid Code and Central Electricity Authority (Installation and Operation of Meters) Regulations, 2006 as amended and revised from time to time.

  • Firm price means the price that is only subject to adjustments in accordance with the actual increase or decrease resulting from the change, imposition, or abolition of customs or excise duty and any other duty, levy, or tax, which, in terms of the law or regulation, is binding on the contractor and demonstrably has an influence on the price of any supplies, or the rendering costs of any service, for the execution of the contract;

  • Project Completion Schedule means the progressive Project Milestones set forth in Schedule-J for completion of the Project Highway on or before the Scheduled Completion Date;

  • Share Delivery Date shall have the meaning set forth in Section 4(c)(ii).

  • Delivery Site means 250 West 70th Avenue, Vancouver, B.C., V5X 2X1, unless otherwise stated in this ITT;

  • Delivery Time means the time for Delivery stated in the Purchase Order.
