First Option Date definition

First Option Date has the meaning given in clause 2.2 (“First Option Date”).
First Option Date is the earliest of: (i) the first 1 July occurring not less than 6 months after the Commercial Operations Date; (ii) the first 1 July occurring not less than 6 months after the “COD Sunset Date” (as defined in the PDA); and (iii) any Requested Date that is agreed between the parties pursuant to paragraph (b).
First Option Date means, for purposes of Article 3, below, the date of delivery of the Sale Notice, for purposes of Articles 4 and 5, below, the Valuation Date, and for purposes of Article 6, below, the first to occur of the following: (i) The date the assets other than the Restricted Securities are adjudged insufficient; or (ii) the date the Court awards an interest in the Restricted Securities to the spouse of the divorcing Stockholder.

Examples of First Option Date in a sentence

  • The Tenant Unit Purchase Option may be exercised only during the first sixty (60) days after the First Option Date and the Second Option Date respectively, by written notice to the Landlord from the Tenant (“Tenant’s Option Notice”).

  • So long as no Material Event of Default exists and is continuing, Tenant may peaceably and quietly hold and enjoy the Premises for the Term (following the First Option Date and Landlord’s delivery to Tenant of possession of the first Phase) without hindrance or interruption by Landlord or anyone lawfully claiming through Landlord.

  • Two Hundred Fifty Thousand Dollars ($250,000) of Additional Consideration to Landlord by the first anniversary of the First Option Date and Landlord’s delivery of the first Phase.

  • Such option shall be exercised, if at all, by written notice to Landlord not later than three (3) months prior to the First Option Date or not later than three (3) months following the Alternate Option Date.


More Definitions of First Option Date

First Option Date has the meaning given it in Section 1.7.2.1.
First Option Date means the date falling three (3) years from the date of this Agreement, subject to adjustment in accordance with Clause 10.5;

Related to First Option Date

  • Option Date means, with respect to any Stock Option, the date on which the Stock Option is awarded under the Plan.

  • Call Option Date As defined in Section 10.01(a) hereof.

  • Initial Optional Termination Date The first Distribution Date on which the aggregate Stated Principal Balance of the Mortgage Loans is equal to or less than 10% of the aggregate Stated Principal Balance of the Mortgage Loans as of the Cut-off Date.

  • Initial Optional Purchase Date The first Distribution Date following the date on which the Aggregate Loan Balance is less than 10.00% of the Cut-off Date Balance.

  • Option Period means the period during which an Option may be exercised.

  • Option Closing Date shall have the meaning ascribed to such term in Section 2.2(c).

  • First Call Date means the date falling 36 months after the Issue Date or, to the extent such day is not a Business Day, the Business Day following from an application of the Business Day Convention.

  • Option Expiration Date means the last day of the maximum term of an Option.

  • Optional Termination Date Any Distribution Date on or after which the Stated Principal Balance (after giving effect to distributions to be made on such Distribution Date) of the Mortgage Loans is less than 10.00% of the Cut-off Date Balance.

  • Purchase Termination Date means the date upon which the Transferor shall cease, for any reason whatsoever, to make purchases of Receivables from the Seller under the Receivables Purchase Agreement or the Receivables Purchase Agreement shall terminate for any reason whatsoever.

  • Termination Option Event means an event of a kind defined as such in Section 4.1, 4.2 or 4.8.

  • Base Date means a date 30 day prior to the submission of tenders.

  • Interest Option means LIBOR or the Reference Rate.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Grant Date means the date on which the Committee adopts a resolution, or takes other appropriate action, expressly granting an Award to a Participant that specifies the key terms and conditions of the Award or, if a later date is set forth in such resolution, then such date as is set forth in such resolution.

  • Purchase Option Period As defined in Section 9.03(a) hereof.

  • First Anniversary means the first anniversary of the Closing Date.

  • Founder Shares Lock-up Period means, with respect to the Founder Shares, the period ending on the earlier of (A) one year after the completion of the Company’s initial Business Combination and (B) subsequent to the Business Combination, (x) if the closing price of the Common Stock equals or exceeds $12.00 per share (as adjusted for stock splits, stock dividends, reorganizations, recapitalizations and the like) for any 20 trading days within any 30-trading day period commencing at least 150 days after the Company’s initial Business Combination or (y) the date on which the Company completes a liquidation, merger, capital stock exchange, reorganization or other similar transaction that results in all of the Company’s stockholders having the right to exchange their shares of Common Stock for cash, securities or other property.

  • Election Date has the meaning specified in Section 312(h).

  • L/C Expiration Date means the day that is thirty days prior to the Maturity Date then in effect (or, if such day is not a Business Day, the next preceding Business Day).

  • Warrant Expiration Date means 5:00 P.M. (New York time) on __________, 2001 or the Redemption Date as defined in Section 8, whichever is earlier; provided that if such date shall in the State of New York be a holiday or a day on which banks are authorized or required to close, then 5:00 P.M. (New York time) on the next following day which in the State of New York is not a holiday or a day on which banks are authorized or required to close. Upon notice to all warrantholders the Company shall have the right to extend the warrant expiration date.

  • Put Option Event means a Change of Control Event.

  • Option Grant Date means, as to any Stock Option, the latest of:

  • Applicable Anniversary of the Commencement Date means the fifth (5th) anniversary of the Commencement Date.

  • Initial Vesting Date means the date occurring one (1) year after the Date of Option Grant.

  • Anniversary Each anniversary of the Cut-off Date.
