Former Group Companies means all former direct or indirect parent companies or Subsidiaries (including UK Subsidiaries) of the Group Companies that have been dissolved or are no longer affiliated with the Group Companies as of the date of this Agreement, including Ferraris Respiratory Inc., Ferraris Respiratory Europe Limited, ZAN Messgerate GmbH, Ferraris Healthcare Limited, Lynsas Holdings B.V., Lynsas B.V., Densa Limited, RGS(1) Limited, Ferraris Instruments Limited, RGS(5) Limited, Xxxxxxxx Medical Group Limited, Oxford Cryosystems Limited, Oxford Cryosystems, Inc., Ferraris Development and Engineering Company Limited and Stainless Metalcraft (Chatteris) Limited.

Examples of Former Group Companies in a sentence

  • The Seller also owns and Controls (as defined below) directly and indirectly (through Deanfirn and other subsidiaries of the Seller) the Former Group Companies (as defined below), the particulars of which and the Seller’s and Deanfirn’s respective shareholding in which are set out in Part C of Error!   • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • Acquired Entities means the Company and each of its Subsidiaries, collectively.

  • Company Group Member means each member of the Company Group.

  • Target Group means the Target and its Subsidiaries.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • Released Entities means released entities as such term is defined

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Company Entities means the Company and the Company Subsidiaries.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of SpinCo, after giving effect to the Reorganization.

  • Company Group means the Company and its Subsidiaries.

  • Acquired Corporations means the Company and each of its Subsidiaries, collectively.

  • Material Group Company means the Issuer or a Subsidiary representing more than 5.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the net profit of the Group on a consolidated basis according to the latest Financial Report.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Portfolio Companies means any Person in which any Fund owns or has made, directly or indirectly, an investment.
