Former Properties definition

Former Properties means all plants, offices, manufacturing facilities, stores, warehouses, administration buildings and all real property and related facilities owned, leased or operated by Empower prior to the date hereof, but excluding Facilities.
Former Properties as defined in Section 5.17(d).

More Definitions of Former Properties

Former Properties means all land and premises previously used by any Group Member or previously owned, occupied, controlled or developed by any Group Member and shall exclude the Current Properties.
Former Properties means all plants, offices, manufacturing facilities, stores, warehouses, administration buildings and all real property and related facilities owned, leased or operated by the Company or any predecessor prior to the date hereof, but excluding the Facilities.

Former Properties means any Properties previously owned, leased or occupied by any member of the Baltic Group at any time since such member of the Baltic Group or such Property, as the case may be, was owned directly or indirectly by a member of the Blue Circle Group prior to the Completion Date; "Hazardous Material" means anything which alone or in combination with other things is capable of causing harm to man or to the Environment or any other organism supported by the Environment; "New Contaminated Land Powers" means the new powers enacted by section 57 and section 162 of Schedule 22 of the Environment Act (but not yet brought into force), including the first set of guidance and regulations under those powers, but excluding any amendments to sections 57 or 162 (as enacted) or to such regulations or guidance (as they exist in draft as at the Completion Date); and "Waste" means any waste including anything which is abandoned, unwanted or surplus irrespective of whether it is capable of being recovered or recycled or has any value.

Former Properties means any property (including, without limitation, the Carholme Road Property and the Oldham Properties) used, owned or occupied at any time prior to Completion by any Group Company other than those properties listed in Parts I(1) and (2), II and III of Schedule 8 of the Sale and Purchase Agreement
Former Properties means any property owned, occupied, or leased by the Vendor or by any Group Company (i) where such ownership, occupation or lease ceased prior to Completion, or (ii) where such property does not form part of the Assets; Hazardous Substances means wastes, pollutants, contaminants or other substances (including without limitation liquids, solids, gases, ions, living organisms, and noise) that are harmful to human health or other life or the Environment or a nuisance to any person; Operational Expenditure means in respect of any of the Operations any future expenditure to the extent that after Completion it is incurred or is properly to be incurred in the ordinary course of business of any of the Operations, as part of routine maintenance and upkeep of any works, plant, equipment and/or buildings and/or their services or to overcome fair wear and tear of such works, plant, equipment and/or buildings and/or their services but for the avoidance of doubt shall exclude any future expenditure incurred by the Purchaser after Completion in respect of any works required to bring into compliance with Environmental Laws to the extent such Environmental Laws were applicable on or before Completion any works, plant, equipment, buildings or services which were non compliant on or before Completion.
