  • Interests in a Permanent Global Class A Note will be exchangeable for a definitive Class A Note in accordance with the provisions of such Permanent Global Class A Note and the Base Indenture (as modified by this Supplement).

  • In the event that a Rule 144A Global Class A Note is exchanged for one or more Definitive Notes pursuant to Section 2.11(3) of the Trust Indenture, such Class A Notes may be exchanged for one another only in accordance with such procedures as are substantially consistent with the provisions above, including certification requirements intended to insure that such transfers comply with Rule 144A and as may be from time to time adopted by the Trust and the Indenture Trustee.

  • Interests in a Permanent Global Class A Note will be exchangeable for definitive Class A Notes in accordance with the provisions of such Permanent Global Class A Note and the Base Indenture (as modified by this Supplement).

  • A Global Note so executed, authenticated and (in the case of the Global Class A Note) effectuated shall be a binding and valid obligation of the Issuer, notwithstanding that such duly authorised person no longer holds that office at the time the Registrar authenticated the relevant Global Notes.

  • Transfers of a Rule 144A Global Class A Note shall be limited to transfers of such Rule 144A Global Class A Note in whole, but not in part, to a nominee of the Clearing Agency or to a successor of the Clearing Agency or such successor’s nominee.

  • The Class B Notes will be issued in the form of a Global Note in fully registered form, without coupons, substantially in the form set forth in Exhibit B, registered in the name of Cede & Co., as nominee of DTC, and deposited with the DTC Custodian (the “Restricted Global Class B Note”; together with the Restricted Global Class A Note, collectively, the “Restricted Global Notes”).
