The Group Companies have obtained and hold or filed all material Permits that are required to conduct their businesses as currently conducted (collectively, the “Group Company Permits”) except where the failure to have obtained and hold any Group Company Permits would not reasonably be expected to have a material and adverse effect on the business or operations of any Group Company.

The Group Companies hold all permits, licenses, approvals and other authorizations of, and have made all declarations and filings with, Governmental Entities necessary for the lawful conduct of their respective businesses as currently conducted (collectively, the “Group Company Permits”), except where the failure to hold, have obtained or to have made such Group Company Permits, as applicable, would not reasonably be expected to be material to the Group Companies, taken as a whole.
