Examples of Guaranty Equivalent in a sentence
A Person (the "Deemed Guarantor") shall be deemed to subject to a Guaranty Equivalent in respect of any obligation (the "Assured Obligation") of another Person (the "Deemed Obligor") if the Deemed Guarantor directly or indirectly guarantees, becomes surety for, endorses, assumes, agrees to indemnify the Deemed Obligor against, or otherwise agrees, becomes or remains liable (contingently or otherwise) for, such Assured Obligation, in whole or in part.
Neither the Company nor any other Loan Party shall make any capital contribution, loan or gift to, or investment in, or enter into any Guaranty Equivalent with respect to the obligations of, any entity identified on Schedule 5.1(cc) to the Loan Agreement at any time while any of the Secured Obligations remain unpaid.
As used herein, "Cross-Default Obligation" shall mean any indebtedness for borrowed money in an aggregate amount of no less than $5,000,000 (or set of related Indebtedness for borrowed money) of any Loan Party or any Subsidiary or any Loan Party or any Indebtedness or Guaranty Equivalent relating to Indebtedness of any Loan Party or any Subsidiary or any Loan Party, or any agreement or instrument creating, evidencing or securing such Indebtedness or Guaranty Equivalent relating to Indebtedness.
As used herein, "Cross-Default Obligation" shall mean any (1) Indebtedness, Guaranty or Guaranty Equivalent of the Borrower or any Subsidiary Obligor in which the principal obligation of such Person exceeds $500,000, or (2) any Indebtedness under any agreement or instrument creating, evidencing or securing such Indebtedness, Guaranty or Guaranty Equivalent.
