Hallmark Group definition

Hallmark Group means Hallmark and each of its Subsidiaries (other than (i) the Company, (ii) Crown and (iii) each Person that is or was at any time a Subsidiary of or otherwise held directly or indirectly by the Company or Crown, except, in the case of (iii), for such a Person that was never, on or after the Closing Date, a Subsidiary of or otherwise held directly or indirectly by the Company or Crown).
Hallmark Group means Hallmark and each of the other Legal Entities that is or was at any time owned directly or indirectly by Hallmark, other than any member of the Newco Group.
Hallmark Group has the meaning set forth in the Recitals.

  • Company Entities means the Company and the Company Subsidiaries.

  • AMC means Annual Maintenance Contract

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.
