Highly Confidential Material. 1 shall mean Discovery Material that has been

Examples of Highly Confidential Material in a sentence

  • Notwithstanding Section 10.1, as to those materials designated as Confidential or Highly Confidential that constitute Counsel’s work product, and pleadings, motion papers, deposition transcripts, and exhibits thereto, legal memoranda, and correspondence that were served in the Actions, or filed with a court, Counsel may retain such documents, even if such materials contain Confidential or Highly Confidential Material, if such Counsel otherwise comply with this Order with respect to such retained material.

  • Prior to the expiration of that 30-day period (or until a designation is made, if such a designation is made in a shorter period of time), all such Discovery Material shall be treated as Highly Confidential Material.

More Definitions of Highly Confidential Material

Highly Confidential Material. (any such Discovery Material, “Designated Material”) if and to the extent such Producing Person believes in good faith (or with respect to documents received from another person, has been reasonably advised by such other person) that Discovery Material so designated satisfies the relevant definition(s) of those terms provided immediately below:
Highly Confidential Material means Discovery Material (or portions thereof) that constitutes trade secrets or other highly sensitive financial or business information and that qualifies for protection under Rule 26(c) of the Federal Rules of Civil Procedure and Rules 7026 or 9018 of the Federal Rules of Bankruptcy Procedure, provided that such information has not been made public and that the Producing Party would not make such information public in the ordinary course of its activities, and provided further the such information is of such a nature that a genuine risk of competitive injury would be created if such Discovery Material were disclosed to persons other than those identified in Paragraph 12 of this Order. This may include certain trade secrets, sensitive financial or business information, or material prepared by the Producing Party’s industry professionals, advisors, financial advisors, accounting advisors, experts and consultants (and their respective staff) that are retained by signatories to this Order in connection with the Cases.
Highly Confidential Material shall not include information which (i) is or becomes generally available to, or known by, the public other than as a result of the unauthorized disclosure by either Trustee; or (ii) becomes available to either Trustee on a non-confidential basis from a source other than the Reorganized Debtors or any of their advisors, agents or affiliates, provided that the information from such source is not known by the Trustee to be subject to a confidentiality agreement with, or other obligation of secrecy to, the Reorganized Debtors, whether by a contractual, legal or fiduciary obligation, or subject to any other prohibition against disclosing such information. If the Reorganized Debtors designate information as highly confidential, the respective Trustee hereby agrees that it will use (directly or indirectly) the Highly Confidential Material obtained herein solely in connection with such Trust’s pursuit of the Claims, and, except as set forth below, shall only provide such information to the Trustee and retained professionals who agree in writing reasonably satisfactory to the Reorganized Debtors to keep such information highly confidential. The Highly Confidential Material will be kept confidential by the respective Trust; provided, however, that nothing herein shall be deemed to restrict such Trustee from disclosing the Highly Confidential Material to the Bankruptcy Court or other court of competent jurisdiction orally or in writing; provided, further that, to the extent reasonably practical and so long as the information is otherwise discoverable, the Trustee shall provide five business days’ notice (unless exigent circumstances do not afford time for such notice, in which case the Trustee shall endeavor to provide as much notice as possible) to the Reorganized Debtors before disclosing such material to such court to allow the Reorganized Debtors to obtain a protective order or agreement (if they choose to do so), and if the Reorganized Debtors do not obtain a protective order or agreement, the Trustee shall make any such disclosure under seal, unless such court orders otherwise. In the event that the Trustee is required or requested (i) by a court of competent jurisdiction, (ii) in connection with a foreign proceeding or litigation, or (iii) by a federal, state or local governmental or regulatory body, in each case, to disclose any Highly Confidential Material supplied to the Trustee, the Trustee will provide the Reorganized Debtors with prompt written notice o...
Highly Confidential Material means any Confidential Material that a Producing Party reasonably believes in good faith constitutes and/or contains trade secrets or other confidential research, development, strategic, proprietary, or commercially sensitive information that requires the protections provided in this Order and that, if disclosed to any recipient, would irreparably harm the commercial, financial, strategic, or business interests of such Producing Party or its personnel, clients, or customers, or any Confidential Material from which such information could be derived, such as salary information, which is designated by the Producing Party, subject to the provisions of this Order, as “HIGHLY CONFIDENTIAL.”5
Highly Confidential Material means any Confidential Material that is currently highly sensitive, the disclosure of which would cause injury to current commercial or financial interests of the Producing Entity, including current trade secrets; current highly sensitive and non-public research or analysis; current customer information; current financial, marketing, or strategic business planning information which, if disclosed, could cause current competitive harm or reasonably threaten any Party’s current commercial interests; current or future margin, cost or pricing information; information relating to research, development, testing of, or plans for existing or proposed future products; information relating to the processes, apparatus, or analytical techniques used by a Party or non-party in its present or proposed commercial production of such products; information relating to pending or abandoned patent applications which have not been made available to the public or other intellectual property; personnel files; current contract terms and negotiation strategies; current projections or plans regarding performance, budgets, production, output, sales, marketing or distribution practices; and communications regarding any Highly Confidential Material.
