Horizon Shares definition

Horizon Shares means those fully paid and non-assessable shares in the common stock of Horizon to be issued to the Vendor as set out in Article 2.

  • If you elect to exercise your Option(s) later than 4.30pm on 15 December 2020 using the Shareworks portal at https://shareworks.solium.com/solium/servlet/userLogin then an amendment is expected to be made to the Articles of Association of Horizon which means that any Horizon Shares issued to you will be automatically transferred to PerkinElmer UK (or its nominee) in exchange for the same consideration other shareholders are receiving under the Scheme of Arrangement.

  • In accordance with Rule 2.9 of the Code, as at close of business on the Last Practicable Date, there were 157,976,096 Horizon Shares in issue and admitted to trading on AIM.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).
