HSR Notice means the pre-merger notification filing on the form and in accordance with the HSR Rules which is required to be filed pursuant to the HSR Rules in connection with the transactions contemplated by this Agreement by the ultimate parent entity, as defined under the HSR Rules, of each of Buyer and Seller, if applicable.
