If the senior management Representatives have not agreed upon a resolution of the dispute within thirty (30) Days following expiration of the Negotiation Period, then either Party may provide notice to the other declaring an impasse (“Impasse Notice”), following delivery of an Impasse Notice either Party may proceed with litigation in accordance with the further provisions of this Article 11.
Upon the submission of an Impasse Notice, (a) a dispute with respect to the calculation of a Termination Payment pursuant to Section 14.3.2, or (b) a billing dispute under Section 12.2.2, including a dispute concerning the calculation of (i) a Monthly Capacity Payment pursuant to Appendix A, or (ii) a Monthly Energy Payment pursuant to Appendix B, shall be resolved by arbitration as set forth in this Section 21.3.
If a Party provides an Impasse Notice to the other Parties, then a Party may pursue any right or remedy that may be available to it at law or in equity.
If the Parties are unable to mutually agree on the selection of an expert within fifteen (15) Days following the submission of the Impasse Notice, the Disputing Party shall provide a list of five (5) qualified experts to the Responding Party and the Responding Party shall select one expert from such list.
Any dispute for which an Impasse Notice shall have been delivered under Section 13.10(a) shall be settled by arbitration administered by the American Arbitration Association (“AAA”) in San Francisco, California under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
