Incentive Investment Management Fee definition

Incentive Investment Management Fee means the fee payable to the Investment Manager in arrear on each Payment Date, pursuant to the Investment Management Agreement in an amount, as determined by the Collateral Administrator, equal to the amounts specified in the Interest Proceeds Priority of Payments and the Principal Proceeds Priority of Payments provided that such amount will only be payable to the Investment Manager if the Incentive Investment Management Fee IRR Threshold has been reached.

Incentive Investment Management Fee means the fee payable to the Investment Manager (exclusive of VAT) pursuant to the Investment Management Agreement in arrear on each Payment Date, as determined by the Collateral Administrator, in an amount equal to 20 per cent. of any Interest Proceeds or Principal Proceeds that would otherwise have been payable to the Subordinated Noteholders in accordance with paragraph (CC) of Condition 3(c)(i) (Interest Priority of Payments) and paragraph (U) of Condition 3(c)(ii) (Principal Priority of Payments) on such Payment Date, provided that such amount will only be payable to the Investment Manager if the Incentive Investment Management Fee IRR Threshold has been reached.

Incentive Investment Management Fee means the fee payable to the Investment Manager pursuant to the Investment Management and Collateral Administration Agreement in an amount, as determined by the Collateral Administrator, equal to the amount specified at paragraph (BB) of the Interest Proceeds Priority of Payments and paragraph (F) of the Principal Proceeds Priority of Payments provided that such amount will only be payable to the Investment Manager if the Incentive Investment Management Fee IRR Threshold has been reached.
Incentive Investment Management Fee means the fee payable to the Investment Manager in arrear on each Payment Date pursuant to the Investment Management Agreement in an amount, as determined by the Collateral Administrator, equal to the product of 0.10 per cent. per annum of the Average Aggregate Principal Balance applicable in respect of the Due Period immediately preceding the relevant Payment Date and the actual number of days elapsed in the same Due Period divided by 360, being payable from and including the first Payment Date to and including the Payment Date falling in January 2013 provided that such amount will only be payable to the Investment Manager if the Incentive Investment Management Fee Threshold has been reached and such amount shall not exceed the Incentive Investment Management Fee Cap at the relevant time.

Incentive Investment Management Fee means the performance related fee applicable in respect of the Due Period immediately preceding the related Payment Date equal to 20.0 per cent. of the remaining Interest Proceeds and Principal Proceeds (together with any value-added tax payable in respect thereof) which would otherwise be payable to the Class F Subordinated Noteholders in accordance with the Priorities of Payment, Conditions 3(c)(i)(CC) (Application of Interest Proceeds) and 3(c)(ii)(C)(16) (Application of Principal Proceeds), which shall be payable to the Investment Manager on the first Payment Date on which the Class F Subordinated Noteholders achieve the Target IRR and in arrear on each Payment Date thereafter.
Incentive Investment Management Fee means, in respect of each Incentive Fee Period, an amount which is payable on the related Incentive Fee Payment Date, in the event that the Incentive Fee Threshold calculated in respect of such Incentive Fee Period on the related Incentive Fee Determination Date is satisfied, equal to 0.25 per cent per annum (calculated on the basis of a 360 day year and the actual number of days in such Incentive Fee Period) of the Aggregate Collateral Balance as at the first day of such Incentive Fee Period, provided that if the Incentive Fee Threshold is not satisfied on the third Incentive Fee Determination Date it shall be recalculated on the next following Incentive Fee Determination Date by reference to the distributions paid and payable in respect of the Subordinated Notes during the Incentive Fee Period ending on the related Payment Date and the immediately preceding Incentive Fee Period.
