Income Tax Certificate definition

Income Tax Certificate means the affidavit of the Seller certifying (i) that the Seller is not a foreign corporation, foreign partnership, foreign trust, foreign estate or foreign person (as those terms are defined in the Internal Revenue Code and the Income Tax Regulations) under Section 1445 of the Internal Revenue Code, (ii) the information to complete IRS Form 1099S, and (iii) the information to complete any required state income or recordation tax reporting requirement, prepared by counsel to the Purchaser and in form and substance reasonably acceptable to the Purchaser.
