Incumbent Trustees definition

Incumbent Trustees means (1) the trustees of the Company as of the date of this Agreement or (2) any trustee elected subsequent to the date of this Agreement whose election or nomination was approved by a vote of at least two-thirds of the Incumbent Trustees then on the Board (either by specific vote or approval of a proxy statement of the Company in which such person is named as a nominee for trustee).

More Definitions of Incumbent Trustees

Incumbent Trustees means Trustees who are either: (a) Trustees of the Corporation as of the Effective Date; or (b) elected, or nominated for election, to the Board with the affirmative votes of at least a majority of the Trustees who had been Trustees two (2) years prior to such change and who were still in office at the time of such election or nomination; or
Incumbent Trustees means Trustees who either (i) are Trustees of Lessor as of the date hereof, or (ii) are elected, or nominated for election, to the Board or Trustees of Lessor with the affirmative votes of at least a majority of the Incumbent Trustees at the time of such election or nomination.
