Indexed Companies definition

Indexed Companies means the companies in the Index as of the beginning of the Performance Period, excluding the Company and any companies that cease trading during the Performance Period as a result of being acquired. For the avoidance of doubt, if a company that is in the Index as of the beginning of a Performance Period makes an acquisition, is removed from the index, or goes in to bankruptcy, such company shall not be excluded as an Indexed Company for that Performance Period due to such changes.
Indexed Companies means the companies in the Index as of the beginning of the Performance Period, excluding the Company and any companies that cease trading during the Performance Period as a result of being acquired. For the avoidance of doubt, if a company that is in the Index as of the beginning of a Performance Period makes an acquisition, is removed from the index, or goes into bankruptcy, such company shall not be excluded as an Indexed Company for that Performance Period due to such changes except to the extent that the company is acquired.
Indexed Companies means the companies that (i) are in the Index as of the beginning of the applicable Performance Period or Adjusted Performance Period (as defined below), as applicable, and (ii) have common stock traded on an established stock exchange or a national market system as of the end of the applicable Performance Period or Adjusted Performance Period, as applicable.

Examples of Indexed Companies in a sentence

  • If the Company TSR is zero or negative, then regardless of how Company TSR ranks among the Indexed Companies TSRs, the Applicable Percentage will be 0%, and no Restricted Stock Units will become Eligible RSUs. The Administrator’s determination as to the number of Restricted Stock Units that become Eligible RSUs (if any) will be deemed to be final and binding on Participant and any other holder of this Award and will be given the maximum deference permitted by Applicable Laws.

  • The following limitation shall apply with respect to the RSUs. The Company’s TSR (as defined in Participant’s Global Restricted Stock Unit Agreement (For Fiscal Year 2024 Performance-Based Restricted Stock Units) (the “FY 2024 rTSR Agreement”) shall be measured relative to the TSRs of the Indexed Companies (as defined in the FY 2024 rTSR Agreement) during the Performance Period using the same calculation methodology set forth in the rTSR Agreement.

  • The number of Restricted Stock Units that will become Earned Units (if any) will be determined based on the Company’s “Relative TSR” or “Relative Total Shareholder Return”, which considers how the Total Shareholder Return (“TSR”) of the Company compares to the TSRs of the Indexed Companies (as defined below) for the Performance Period.

  • The number of Earned Performance Units (if any) for a Performance Period will be determined based on how the total shareholder return (“TSR”) of the Company during such Performance Period compares to the TSRs of the Indexed Companies (as defined below) during such Performance Period.

  • Notwithstanding the calculation set forth in Section 2, if, for the Performance Period, the percentile ranking of the Company TSR relative to the TSRs of the Indexed Companies under Step 4 of Section 3 of the FY 2024 rTSR Agreement is less than the 50th percentile, then payout of the RSUs becoming Eligible RSUs shall be capped at 100%.

  • The rTSR Modifier for a Tranche will be determined based on how the total shareholder return (“TSR”) of the Company during the applicable Performance Period compares to the TSRs of the Indexed Companies during such Performance Period.

  • Performance-Based Vesting Component: The number of Earned Performance Units (if any) for a Performance Period will be determined based on how the total shareholder return (“TSR”) of the Company during such Performance Period compares to the TSRs of the Indexed Companies (as defined below) during such Performance Period.


More Definitions of Indexed Companies

Indexed Companies means the companies that both (i) are in the Index as of the beginning of the Performance Period and (ii) either (A) are in the Index as of the end of the Performance Period or the Adjusted Performance Period, as applicable, (B) if the Index is not in existence at such time with no successor index, were in the Index immediately before the Index ceased to exist and have securities that are actively traded on a nationally recognized stock exchange as of the end of the Performance Period or the Adjusted Performance Period, as applicable, or (C) are Bankrupt Indexed Companies.
Indexed Companies for a Performance Period means the companies that are a component of the S&P 500 Index, or any successor index thereto, on the last day of the Performance Period and were also a component of such index on the first day of the Performance Period. • The “Performance Period” for a Tranche will be the period beginning on the first day of the first fiscal year for such Tranche and ending on the last day of the last fiscal year for such Tranche. • The “Target Annual Revenue Growth” will be, for each fiscal year during the Performance Periods for this Award, a percentage determined by the Administrator no later than the end of the first month of such fiscal year.

Related to Indexed Companies

  • Consolidated Companies means, collectively, Borrower and all of its Subsidiaries.

  • Peer Group Companies means the following companies: .

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • Group Companies means the Company and its Subsidiaries.

  • Restricted companies means companies that boycott Israel.

  • Consolidated Entities as of any date of determination, any entities whose financial results are consolidated with those of Kimco in accordance with GAAP.

  • Combined Company means Holdco and its consolidated subsidiaries after giving effect to the Business Combination.

  • Peer Companies means the companies included in the Xxxxxxx 2000 on December 31, 2017. In the event of a merger, acquisition or business combination transaction of a Peer Company with or by another Peer Company, the surviving entity shall remain a Peer Company. In the event of a merger of a Peer Company with an entity that is not a Peer Company, or the acquisition or business combination transaction by or with a Peer Company, or with an entity that is not a Peer Company, in each case, where the Peer Company is the surviving entity and remains publicly traded, the surviving entity shall remain a Peer Company. In the event of a merger or acquisition or business combination transaction of a Peer Company by or with an entity that is not a Peer Company, a “going private” transaction involving a Peer Company or the liquidation of a Peer Company, where the Peer Company is not the surviving entity or is otherwise no longer publicly traded, the company shall no longer be a Peer Company. In the event of a bankruptcy of a Peer Company, such company shall remain a Peer Company.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Portfolio Companies means any Person in which any Fund owns or has made, directly or indirectly, an investment.

  • Consolidated Group means the Borrower and all Subsidiaries which are consolidated with it for financial reporting purposes under GAAP.
