If the Company TSR is zero or negative, then regardless of how Company TSR ranks among the Indexed Companies TSRs, the Applicable Percentage will be 0%, and no Restricted Stock Units will become Eligible RSUs. The Administrator’s determination as to the number of Restricted Stock Units that become Eligible RSUs (if any) will be deemed to be final and binding on Participant and any other holder of this Award and will be given the maximum deference permitted by Applicable Laws.
The following limitation shall apply with respect to the RSUs.
