Initial Award Value definition

Initial Award Value means the initial cash value of the Award in the currency as set out in the Award Statement.
Initial Award Value means a dollar amount approved by the Board for the Initial Award to be granted in connection with an individual becoming an Eligible Director.
Initial Award Value means the portion of a Participant's discretionary compensation made the subject of an Award.

  • The number of Restricted Stock Units that are ultimately earned pursuant to the Award (if any) will be determined based on the Initial Award Value and the procedures and calculations set forth in this Agreement.

  • The Units and, if applicable, cash value resulting from the reinvestment of such Dividend Equivalents shall be subject to the same terms and conditions, and shall vest or be forfeited (if applicable) at the same time, upon the same conditions, and in the same proportion, as the Initial Award Value set forth in this Award.

More Definitions of Initial Award Value

Initial Award Value means, with respect to any award of ------------------- Restricted Shares, the price per share of the Common Stock on the date on which the Restricted Stock award is made, calculated as the average of the reported highest and lowest sales prices per share on the principal exchange or national automated quotation system on which the Common Stock is traded or quoted, or in the absence of reliable information as to such prices, such other price as may be determined by the Committee.
Initial Award Value means the notional dollar value awarded to a Participant for a particular Fiscal Year out of the LTIP Pool for such Fiscal Year.
Initial Award Value means a notional value determined for a Senior Executive by the Committee in respect of a Performance Period to be used to determine the number of PSUs to be granted to such Senior Executive as an Award for such Performance Period;

Related to Initial Award Value

  • Award Value means the value, in dollars, of an award made to a Participant and as stated in the applicable Award Agreement, which is provided under the Plan in the form of PSUs or RSUs, as the case may be.

  • Annual Award means the cash payment paid or payable to the Executive with respect to a fiscal year under the Corporation's Incentive Compensation Performance Plan.

  • Performance Year means the calendar year prior to the year in which an Annual Award is made by the Committee.

  • Performance Share means an Award denominated in Shares which may be earned in whole or in part upon attainment of performance goals or other vesting criteria as the Administrator may determine pursuant to Section 10.

  • Performance Share Units means Performance Share Units granted to an Eligible Individual under Section 9.1(b).

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;

  • Performance Shares means Shares or an Award denominated in Shares which may be earned in whole or in part upon attainment of performance criteria established by the Administrator.

  • Cash Performance Award means an Award that is denominated by a cash amount to an Eligible Person under Section 10 hereof and payable based on or conditioned upon the attainment of pre-established business and/or individual Performance Goals over a specified performance period.

  • Grant Year has the same meaning as in subclause 1(1) of Schedule 1 of HESA;

  • Performance Unit Award means an Award granted under Article XI of the Plan under which, upon the satisfaction of predetermined Performance Goals, a cash payment shall be made to the Holder, based on the number of Units awarded to the Holder.

  • Final Award means, in the context of this Request for Proposals and all its attendant documents, that point at which the final required signature on the contract(s) resulting from the procurement has been affixed to the contract(s) thus making it fully executed.

  • Annual Incentive Award means an Award made subject to attainment of performance goals (as described in Section 14) over a performance period of up to one year (the Company’s fiscal year, unless otherwise specified by the Committee).

  • Award Period means the period beginning on an Award Date and ending on the expiration date of such Award.

  • Award Cycle means a period of consecutive fiscal years or portions thereof designated by the Committee over which Performance Units are to be earned.

  • Incentive Bonus means a bonus opportunity awarded under Section 9 pursuant to which a Participant may become entitled to receive an amount based on satisfaction of such performance criteria as are specified in the Award Agreement.

  • Cash Incentive Award means a cash award granted pursuant to Section 8 of this Plan.

  • Target Bonus Amount means Executive’s target annual bonus amount in effect at the time of Executive’s Qualifying Termination (disregarding any decrease in such target annual bonus amount that constitutes a Good Reason event).

  • Phantom Shares means an Award of the right to receive Shares issued at the end of a Restricted Period which is granted pursuant to Section 6(e) of the Plan.
