Initial Nomination definition

Initial Nomination means a Nomination by the Shipper under clause 8.6, unless no such Nomination has been made, in which case it means an Advance Nomination (if the Shipper has made an Advance Nomination).
Initial Nomination has the meaning specified in Section 5.3.
Initial Nomination means a Nomination submitted before 13:00 on Gas Day D-1 under which the nomination quantity is to flow from the start of the Gas Day;

Examples of Initial Nomination in a sentence

  • If the Shipper does not make an Initial Nomination complying with clause 8.6 or an Advance Nomination complying with clause 8.18 for a Gas Day for Capacity at an Inlet Point or at an Outlet Point, then the Shipper's Daily Nomination for that Gas Day for the Inlet Point or the Outlet Point (as the case may be) is taken as equal to the Shipper's Daily Nomination for the previous Gas Day at that Inlet Point or Outlet Point (as the case may be).

  • A volume equal to (a) for a Regular Shipper, 80% of its Initial Nomination or its Initial Nomination less 25,000 barrels, whichever is less; provided that the Calculated Minimum Nomination of a Regular Shipper that does not submit an Initial Nomination will be 0, and (b) for a New Shipper, 80% of its New Shipper Nomination.

  • No more than two (2) athletes in each event will be nominated on the Initial Nomination Date.

  • In doing so, the Initial Nomination may be made by indicating the gas quantity to be injected or withdrawn, respectively, in total for the respective gas day (“Quantity of a Gas Day”) or may be itemized by hourly gas quantities (“Quantity of an Hour”).

  • A volume equal to (a) for a Regular Shipper, 80% of its Initial Nomination or its Initial Nomination less 25,000 barrels, w hichever is less; provided that the Calculated Minimum Nomination of a Regular Shipper that does not submit an Initial Nomination w ill be 0, and (b) for a New Shipper, 80% of its New Shipper Nomination.

  • The WTI Differential may be established in volumes of 100,000 Barrels up to the full volumes listed in the Initial Nomination (as amended from time to time) relating to the Nominated Volumes that would be processed or sold for the Consumption Month.

  • TRC shall indemnify MSCG for any costs, expenses or other losses that MSCG incurs as a result of any amendment to an Initial Nomination requested by TRC or any other adjustment to the Nominated Volumes (other than a substitution or other change to the Nominated Volumes requested by MSCG); provided that MSCG shall use commercially reasonable efforts to mitigate such costs, expenses or losses.

  • In the absence of notification from MSCG to TRC within one Business Day of MSCG’s receipt of any Initial Nomination, and subject to the Parties mutual agreement to certain FOB Grade Differentials as described in Section 8.2.2, the Parties shall be deemed to have agreed to the sale by MSCG to TRC of the Nominated Volumes specified in such Initial Nomination.

Initial Nomination is defined in Clause 3.2(b);

Related to Initial Nomination

  • Investor Nominee means a person designated for election to the Board of Directors by the Investor pursuant to the Investment Agreement.

  • Investor Designee means an individual nominated by the Board as a “Investor Designee” for election to the Board pursuant to Section 5.10(a), Section 5.10(d) or Section 5.10(e) of the Investment Agreement.

  • Relevant Nominating Body means, in respect of a benchmark or screen rate (as applicable):

  • New Director means an individual whose election by the Board or nomination for election by the Company’s stockholders was approved by a vote of at least two-thirds of the directors then still in office who either were directors at the Date of Grant or whose election or nomination for election was previously so approved or recommended. However, “New Director” shall not include a director whose initial assumption of office is in connection with an actual or threatened election contest, including but not limited to a consent solicitation relating to the election of directors of the Company.

  • Board Designee means an employee of the Board who has been given authority by the Board to carry out a function for the Board (e.g., the Clerk, Assistant Clerk of the Board, or hearing officer).

  • Nomination means a request by a Shipper to Carrier to transport a stated quantity of Crude Petroleum on the Pipeline for the account of such Shipper in any month.

  • Nomination Notice means all information and documents that a Nominating Stockholder is required to submit to the Secretary of the Corporation pursuant to Section 2.6(f).

  • Nomination Period means, in respect of a Nomination, the period from the Nomination Start Time to the Nomination End Time;

  • NZOC Nomination and Selection Regulation means the regulation of NZOC relation to the nomination and selection Process for all Olympic and Commonwealth games, including the Games.

  • Series B Director means any director of the Company that the holders of record of the Series B Preferred Stock are entitled to elect pursuant to the Company’s Certificate of Incorporation.

  • Nomination Date as herein used means twenty-fifth (25th) of the month preceding the movement; provided that if the twenty-fifth (25th) of such month falls on a weekend, the date shall be the preceding workday, and further provided that if the twenty-fifth (25th) of such month falls on a holiday the date shall be two (2) workdays prior to the holiday.

  • Nominations means the process by which the customer or the customer's agent notifies the Company of expected transportation quantities.

  • New Directors means any director whose election by the Board or whose nomination for election by the Company's stockholders was approved by a vote of at least two-thirds of the directors then still in office who were Present Directors or New Directors.

  • Nominated Athlete means an Athlete who has been nominated to the NZOC by Swimming New Zealand.

  • Designated Director means a person designated by the RE to ensure overall compliance with the obligations imposed under chapter IV of the PML Act and the Rules and shall include:

  • Public Director means a Person that meets the qualifications described in Rule 207(e).

  • Over-Riding Nomination Criteria means the criteria set out in clause 4.2.

  • Preferred Director means any director of the Company that the holders of record of the Preferred Stock are entitled to elect pursuant to the Company’s Certificate of Incorporation.

  • Proposed Nominee Associated Person of any Proposed Nominee shall mean (A) any Person acting in concert with such Proposed Nominee, (B) any direct or indirect beneficial owner of Shares owned of record or beneficially by such Proposed Nominee or Person acting in concert with the Proposed Nominee and (C) any Person controlling, controlled by or under common control with such Proposed Nominee or a Proposed Nominee Associated Person.

  • Unaffiliated Director means, for purposes of this Code, a director or honorary director of the Fund who is not a director, officer or employee of the Adviser or an affiliate thereof.

  • Athletic director means an individual responsible for administering the overall athletic program of an educational institution or, if an educational institution has separately administered athletic programs for male students and female students, the athletic program for males or the athletic program for females, as appropriate.

  • Nomination Committee means the nomination committee of the Board established in accordance with Article 114;

  • Elected Director means a person elected as an elected director in accordance with these bylaws or elected or appointed as a replacement director for an elected director;

  • Purchaser Designee means each individual then serving on the Board of Directors pursuant to the exercise of the Purchaser’s rights pursuant to Section 4.07(a) and/or Section 4.07(e), together with any designee(s) of the Purchaser who is then standing for election to the Board of Directors pursuant to Sections 4.07(a) and (b) or who is being proposed for election by the Purchaser pursuant to Section 4.07(e).

  • Nominating Committee means the nominating committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Nominated Representative means, in respect of each party, the person whose details are set out in the Special Conditions (if any).
