Initial Programs definition

Initial Programs means the Standard Programs listed in Exhibit A as of the date of this Agreement, and/or any eFunds Customizations developed pursuant to subsection 4 c) below, if any.

Examples of Initial Programs in a sentence

  • With respect to Maintenance Services for Initial Programs, after the Initial Term, this Agreement shall be automatically renewed for successive two (2) year periods (each, a "Renewal Term") unless either party terminates the Agreement as provided for in this Agreement.

  • With respect to Maintenance Services for Initial Programs, this Agreement will be effective upon the date first set forth above and will continue for sixty (60) months following the date of Installation (the "Initial Term").

  • Client acknowledges that its failure to instill such items may eventually make the Initial Programs unusable or nonconforming to their specifications and Client assumes all risks of such use.

  • Subject to the timely and full payment of the fees required hereunder and the conditions of this Agreement, during the term of this Agreement, eFunds will maintain the Initial Programs in accordance with the General Warranty set forth in subsection 7 a) above, and as set forth in this subsection 8 a), provided that Client is using Standard Programs that are current to within one Product Release or Version.

  • In the event that the Initial Programs are not accepted by Client pursuant to subsection 6 b) of this Agreement, either party may terminate this Agreement upon ten (10) days written notice to the other party.

  • Subject to the provisions of this Section 8 and the timely and full payment of applicable fees, eFunds will provide the maintenance and support services detailed in this Section 8 ("Maintenance Services") for one productive copy of all Initial Program(s) and those Customized Programs subsequently agreed to by Client and eFunds for maintenance- Maintenance Services shall be provided only to the Permanent Site.

  • If someone other than eFunds makes any Modification to a Standard Program or Initial Program without the express written authorization of eFunds, eFunds will continue to supply Maintenance Services to the unmodified portion of the Standard Programs or Initial Programs.

  • Failure to Agree on eFunds Customizations Costs for Initial Programs.

  • After Installation, Client shall have thirty (30) days to do whatever acceptance testing itchooses to determine whether the Initial Program(s) function substantially as described in theDocumentation.

  • Failure to notify eFunds of a problem in writing, or productive use by Client during such thirty (30) day period, shall constitute Client acceptance of the Initial Program(s) ("Acceptance").


More Definitions of Initial Programs

Initial Programs means the Programs with respect to the following Program Targets: [***]; provided, however, that within [***] following the Effective Date, Licensee may, at its option, without any additional payment, and upon notice to Inhibrx, replace [***] with a Program Target from the Ongoing Programs; provided further that Inhibrx shall have no obligation to begin activities under a Program Plan for [***] unless and until Licensee notifies Inhibrx that Licensee plans to proceed with [***] as an Initial Program or the expiration of such [***] period without Licensee replacing [***] as an Initial Program. In the event that Licensee nominates another Target other than [***], [***] shall continue to constitute a Target as part of the Ongoing Program and shall not be considered a Declined Program (and, for avoidance of doubt, if Licensee then determines to include [***] as a New Program, Licensee shall be obligated to pay the Upfront Option Fee).
Initial Programs has the meaning ascribed to it in Section 4.1.
Initial Programs means educator preparation programs offered at the undergraduate or graduate levels to prepare an individual for a first professional teaching credential. These pro- grams are designed to prepare candidates who have not yet earned a certificate to become P- 12 educators.
Initial Programs means the educational programs that are proposed to be the initial educational programs offered by the Working Families School during its first twelve (12) months of educational program offerings, as set forth in the Initial Budget.
Initial Programs shall have the meaning set forth in Section 3.1.

Related to Initial Programs

  • Marketing program means a program established by order of the director pursuant to this act prescribing rules and regulations governing the marketing for processing, distributing, selling, or handling an agricultural commodity produced in this state or agricultural commodity input during a specified period and

  • Apprenticeship program means a program registered with the U.S. Department of Labor, Office of Apprenticeship, which includes terms and conditions for the qualification, recruitment, selection, employment, and training of apprentices, including the requirement for a written apprenticeship agreement.

  • AML Program has the meaning ascribed thereto in Schedule 2.1(F)(8) hereof.

  • Development Plans means a coherent set of operations defined and financed exclusively by the OCTs in the framework of their own policies and strategies of development, and those agreed upon between an OCT and the Member State to which it is linked;

  • Educational program means a program for educating and preparing physician assistants which is approved by the board.

  • Motor Sport Activities means any motor sport activities or Recreational Services which are permitted or approved which CAMS regulates or administers by CAMS or otherwise under the responsibility / control of CAMS;

  • Government Apprenticeship Programme “ means training which is funded by the Government via the National Apprenticeship Service.

  • Education program means any program that is principally engaged in the provision of education, including, but not limited to, early childhood education, elementary and secondary education, postsecondary education, special education, job training, career and technical education, and adult education, and any program that is administered by an educational agency or institution.

  • Initial Development Plan has the meaning set forth in Section 3.2(b).

  • Research-based means a program or practice that has some research demonstrating effectiveness, but that does not yet meet the standard of evidence-based practices.

  • Licensed Programs means, collectively, NeoSystems’ and any Third Party Vendor computer software programs to be provided to Client for use on certain hardware on Client’s premises or a third party’s premises as set forth in an Agreement. The Licensed Programs shall include any fixes, work-arounds, updates, revisions, modifications, enhancements and any derivative works that are provided to Client by NeoSystems under an Agreement.

  • Transitional living program means a residential program that may be attached to an existing facility or operated solely for the purpose of assisting children to develop the skills and abilities necessary for successful adult living. The program may include, but shall not be limited to, reduced staff supervision, vocational training, educational services, employment and employment training, and other appropriate independent living skills training as a part of the transitional living program;

  • Commercialization Plan has the meaning set forth in Section 6.2.

  • Training program means an NCA-approved Iowa college, the Iowa law enforcement academy or an Iowa hospital approved by the department to conduct emergency medical care training.

  • Child welfare services means social services including

  • Collaborative drug therapy management means participation by an authorized pharmacist and a physician in the management of drug therapy pursuant to a written community practice protocol or a written hospital practice protocol.

  • the Programme means the programme leading to the Degree of Master of Laws – LL.M – in International Maritime Law;

  • Registered apprenticeship program means an apprenticeship program which is registered with and approved by the United States Department of Labor and which provides each trainee with combined classroom and on-the-job training in an occupation recognized as an apprenticeable trade and meets the program standards of enrollment and graduation under 29 C.F.R. s.29.6.

  • Research means a systematic investigation, including research development, testing, and evaluation, designed to develop or contribute to generalizable knowledge.

  • Software Program means the software program used by a Fund for providing Fund and account balance information including net asset value per share. Such Program may include the Lion System. In situations where the Lion System or any other Software Program used by a Fund is not available, such information may be provided by telephone. The Lion System shall be provided to Insurance Company at no charge.

  • Commercial Development Plan means the written commercialization plan attached as Appendix E.

  • Procurement Plan means the Recipient’s procurement plan for the Project, dated April 2, 2010, and referred to in paragraph 1.16 of the Procurement Guidelines and paragraph 1.24 of the Consultant Guidelines, as the same shall be updated from time to time in accordance with the provisions of said paragraphs.

  • Wellness program means a program offered by an employer that is designed to promote health or

  • Affordable housing program(s means any mechanism in a municipal Fair Share Plan prepared or implemented to address a municipality’s fair share obligation.

  • Number of Students Who Began Program means the number of students who began the program who are scheduled to complete the program within the reporting calendar year.

  • Commercialization or “Commercialize” means activities directed to marketing, promoting, research and development as required, manufacturing for sale, offering for sale, distributing, importing or selling a product, including sub-licensing or sub-contracting of these activities.
