Investing Fiduciary definition

Investing Fiduciary means the person or persons, natural or legal, including a committee, who exercise discretion with respect to the decision to invest assets of a Qualified Investor in a Fund; provided, however, that, if the person who exercises such investment discretion is a participant or beneficiary entitled to benefits under the Qualified Investor and is acting in his capacity as such, then Investing Fiduciary shall mean the plan fiduciary who has authorized the use of the Funds as an investment option for participants and beneficiaries of the relevant Qualified Investor.

Investing Fiduciary means the person or persons, natural or legal, including a committee, who exercise discretion to invest assets of an Eligible Plan in the Trust or, for an Eligible Plan that permits plan participants to direct investment in the Trust, a fiduciary of the Eligible Plan.

  • The Investing Fiduciary acknowledges receipt of the prospectus for the Affiliated Funds which, among other items, outlines the advisory fee charged by each Affiliated Fund and provides further details of the expenses charged to the Affiliated Funds.

  • The Investing Fiduciary further agrees to provide such other information as State Street may reasonably request from time to time in order to avoid violations of ERISA or other laws applicable to the Collective Trust.

  • The Investment Manager shall maintain records on the voting of proxies for the Funds and it shall provide information from those records to the Investing Fiduciary from time to time upon reasonable request.

  • Neither the Investing Fiduciary nor State Street may make use of any Confidential Information except as expressly authorized in this Agreement.

  • The Investing Fiduciary acknowledges that State Street, in its discretion, may elect to limit certain expenses of a Fund and may discontinue or modify any such limitation at any time without notice to the Investing Fiduciary.

  • State Street shall be entitled to rely on any such information provided by the Investing Fiduciary unless and until superseded in writing.

  • The Investing Fiduciary hereby agrees on behalf of itself and the Qualified Investor that all Affiliated Brokers shall be third party beneficiaries of this provision and the limitations on liability set forth herein.

Related to Investing Fiduciary

  • Named Fiduciary means the Fiduciary or Fiduciaries named herein or in the Adoption Agreement who jointly or severally have the authority to control and manage the operation and administration of the Plan.

  • Independent Fiduciary means an independent fiduciary who will serve as a fiduciary to the Plan in accordance with Article 3 that has no relationship or interest in any of the Settling Parties and is mutually agreed to by the Settling Parties.

  • Plan Fiduciary As defined in Section 5.3(o).

  • Investing Fund any Fund investing Cash Balances and/or Cash Collateral in an Affiliated Money Market Fund; and

  • Adviser/Subadviser means the Adviser or a Subadviser, if any, of the Fund or both as the context may require.

  • Adviser means a party furnishing services to the Trust pursuant to any contract described in Article IV, Section 7(a) hereof;

  • Investment Manager or “Manager” shall mean a party furnishing services to the Trust pursuant to any contract described in Section 4.8 hereof;

  • Adviser/Subadviser means the Adviser or a Subadviser, if any, of the Fund or both as the context may require.

  • Investment Committee means the committee in charge of investment aspects of the Plan, as described in Article VII.

  • Investment Adviser or "Adviser" means a party furnishing services to the Trust pursuant to any contract described in Article IV, Section 7(a) hereof;

  • Designated Employer Representative (DER) means a designated school district representative authorized to take immediate action to remove employees from safety-sensitive duties, to make required decisions in the testing and evaluation process, and to receive test results and other communications for the school district.

  • Investment adviser representative means an individual employed by or associated with an investment adviser or federal covered investment adviser and who makes any recommendations or otherwise gives investment advice regarding securities, manages accounts or portfolios of clients, determines which recommendation or advice regarding securities should be given, provides investment advice or holds herself or himself out as providing investment advice, receives compensation to solicit, offer, or negotiate for the sale of or for selling investment advice, or supervises employees who perform any of the foregoing. The term does not include an individual who:

  • Independent Fund Director means an independent director of an investment company advised by Invesco.

  • Independent Committee means a committee of the board of directors of the General Partner made up of directors that are “independent” of Brookfield and its Affiliates, as contemplated by applicable securities Laws;

  • Advisor or “ADVISORS” means the Person or Persons, if any, appointed, employed or contracted with by the Company pursuant to Section 8.1 hereof and responsible for directing or performing the day-to-day business affairs of the Company, including any Person to whom the Advisor subcontracts all or substantially all of such functions.

  • Investment Advisor means, in relation to a Portfolio, the investment manager or investment advisor of the Portfolio.

  • Independent Custodian means Deutsche Bank AG, London Branch.

  • Fiduciary has the meaning set forth in ERISA Section 3(21).

  • Professional employer services means services provided to a client company pursuant to a written

  • Retirement Committee means a committee consisting of the Company’s Vice President of Human Resources, the Director of HR Operations and the Compensation & Benefits Manager.

  • Non-Administrator Coordinated Home Care Program means a Coordinated Home Care Program which does not have an agreement with the Claim Administrator or a Blue Cross Plan but has been certified as a home health agency in accordance with the guidelines established by Medicare.

  • Independent Fund Trustee means a trustee of the Trust who is not an “interested person” as that term is defined in Section 2(a)(19) of the 1940 Act.

  • Investment Advisory Services means (a) advice with respect to the desirability of investing in, purchasing or selling securities or other property, including the power to determine what securities or other property shall be purchased or sold, but not including furnishing only statistical and other factual information (such as economic factors and trends); and (b) the provision of financial, economic or investment management services, but only if ancillary and related to the advice referred to in clause (a) above.

  • Independent Manager shall refer to a member of the Board that meets the standards of an “independent director” set forth in NASDAQ Marketplace Rule 4200(a)(15) (on any successor rule) with respect the Company, the Administrator and their respective affiliates. In the event a Special Committee is formed, the term “Independent Manager” shall, as the context requires, refer generically to each Independent Manager.

  • Independent Director/Trustee means any; (i) director or trustee of an Invesco Mutual Fund who is not an “interested person” (as defined in Section 2(a)(19) of the Investment Company Act) of an Invesco Mutual Fund; (ii) director or trustee of an Invesco ETP who is not an “interested person” (as defined in Section 2(a)(19) of the Investment Company Act) of an Invesco ETP; or (iii) member of the Invesco Canada Independent Review Committee, Invesco Canada Funds Advisory Board or Board of Directors of Invesco Corporate Class Inc. who has no other executive responsibilities or engagement in an Invesco Canada Fund or Invesco NA’s day-to-day activities beyond the scope of their duties as director/trustee.

  • Plan Administrator means the plan administrator described in Article 8.
