Investment Stock definition

Investment Stock means the investment stock in the Society referred to in Rule 33(a) and (b);
Investment Stock means (a) the holdings of Capital Stock initially listed on Schedule 1, and (b) any holdings of subsequently issued Capital Stock issued in connection with a cash investment in the Company made as part of a bona fide financing transaction or conversion or exchange of Company indebtedness in connection with a capital restructuring, which shall be added to Schedule 1 from time to time by the Board of Directors to reflect the current holdings of Investment Stock and be final and binding on the Stockholders.

Examples of Investment Stock in a sentence

  • Effective after the AT&T Broadband Transaction, Investment Stock is no longer available for new investments, and, except as provided in this Article, Participants may invest in Company Stock instead.

  • Shares of Company Stock and Investment Stock shall be converted to cash for purposes of elections to reallocate the investment of amounts held in an Investment Medium that holds Company Stock or Investment Stock.

  • Provided, however, that (i) the Member’s Acquired Member Asset Stock Requirement shall not include any Acquired Member Asset sold by the Member and owned by the Bank pursuant to a master commitment executed prior to the Conversion Date; and (ii) the Member’s Targeted Debt/Equity Investment Stock Requirement shall not include any Targeted Debt/Equity Investment sold by the Member and owned by the Bank prior to the Conversion Date.

  • If the adjustment results in an increase to the factor used to calculate the Targeted Debt/Equity Investment Stock Requirement, the Bank shall apply the new requirement on a prospective basis only to any Targeted Debt/Equity Investment sold by the Member and owned by the Bank subsequent to the effective date of the adjustment.

  • Sellers are not aware of any circumstances presently in existence which are likely in the future to prompt a disposition of the Investment Stock.

  • Sellers possess the business experience to make an informed decision to acquire the Investment Stock, and Sellers have the financial means to bear the economic risk of the investment in the Investment Stock.

Related to Investment Stock

  • Management Stock means Capital Stock of the Company or any Parent (including any options, warrants or other rights in respect thereof) held by any of the Management Investors.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Payment Shares has the meaning set forth in Section 2.02;

  • Qualified shares means all shares entitled to be voted with respect to the transaction except for shares that the secretary or other officer or agent of the corporation authorized to count votes either knows, or under subsection 4 is notified, are held by:

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Equivalent Shares means Preferred Shares and any other class or series of capital stock of the Company which is entitled to the same rights, privileges and preferences as the Preferred Shares.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Private Placement Shares shall have the meaning given in the Recitals hereto.

  • Exempt Securities has the meaning set forth in Section 4.4(d).

  • Class B Shares means the Class B ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class B Shares, and having the rights provided for in these Articles.

  • Company Securities has the meaning set forth in Section 3.02(b)(ii).

  • Released Securities means Shares of Restricted Stock with respect to which all applicable restrictions have expired, lapsed, or been waived.

  • Investor Shares shall have the meaning given in the Recitals hereto.

  • Issued Shares means, collectively, all outstanding Shares issued pursuant to Restricted Stock Awards, all outstanding Shares issued pursuant to Unrestricted Stock Awards, and all Option Shares.

  • Adjustment Shares shall have the meaning set forth in Section 11(a)(ii) hereof.

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Investment Option means any of the guaranteed investments and variable investment funds available under the Plan.

  • Qualified Securities means securities of a reporting issuer that carry the right to participate in voting on the appointment or removal of the reporting issuer’s auditor;

  • Specified Shares means all or, as the case may be, some of the shares specified in a disclosure notice;

  • Common Shares means the common shares in the capital of the Company;

  • Unvested Units means any Executive Units which are not Vested Units.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • voting equity securities means equity securities having voting power for the election of directors, whether at all times or only so long as no senior class of security has such voting power by reason of any contingency.

  • Investment Securities means any of the following:

  • Class B Common Shares means shares of Class B Common Stock.
