Examples of Investor Expenses in a sentence

• To the extent that the Closing does not occur, and the Company enters into any Alternative Transaction with any Person other than Investor during the period starting on the date hereof through the date that is twelve (12) months following the termination of this Agreement in accordance with Article VIII, the Company shall pay Investor an aggregate amount equal to (i) $12,500,000 as liquidated damages, plus (ii) all Investor Expenses (such aggregate amount, the “Company Fee”).

Investor Expenses means any and all legal, accounting, tax, financial advisory and other professional or transaction related costs, fees and expenses incurred by Great Point Partners, LLC, Investor or their Affiliates in connection with this Agreement or in investigating, pursuing or completing the Transactions (including any amounts owed to any consultants, auditors, accountants, attorneys, brokers or investment bankers), as evidenced by appropriate written invoices.

Investor Expenses has the meaning set forth in Section 9.9 of this Agreement

Investor Expenses means all reasonable cost and expenses (including reasonable attorney fee and expenses) incurred in connection with the preparation, negotiation and enforcement of the Transaction Documents, and Investor’s reasonable attorneys fees and expenses incurred in amending, enforcing or defending the Transaction Documents during and after an Event of Default (as set forth in Section 5 hereof) whether or not a suit is brought.

Investor Expenses means up to $200,000 of the Investor’s reasonably documented out-of-pocket fees and expenses (including legal expenses) incurred in connection with matters related to any of the following: (i) the Investors’ and/or any of its Affiliates’ investment in the Company, (ii) the Stockholder Meeting and (iii) the negotiation and execution of this Agreement, the Settlement Agreement, the Registration Rights Agreement and the Warrants.
