Investor Platform definition

Investor Platform means the proprietary platform available to potential and actual Investors and other registered users who have a user profile to browse and screen potential art investments, glean information as to their investment in a Series or the Company, review the Company’s SEC and other regulatory filings, review tax and financial information concerning the associated Series, review the Auction Agreement and Subscription Agreement related to an Offering and place bid or ask requests concerning a potential trade of the Class A Shares.
Investor Platform means a proprietary web-based interactive investment platform, open to the public, where retail investors can indicate interest and invest in investment opportunities disclosed on the Platform and/or featured on the seriesGoing Public”. The Investor Platform, and all rights and responsibilities associated with the Investor Platform (including all design, functionality, domain, users, identity of Issuers information distributed or acquired on the Investor Platform, etc.) are the sole and exclusive right, responsibility and property of THMG, and no such right, license, responsibility or other interest of any kind in the Investor Platform is granted to EMI under this Agreement.

  • In some cases, excluding and/or removing functionality from the Digital Investor Platform standard components may be detrimental to the project from a cost or timeline perspective.

  • The advanced bank account validation service will be provided by a third party vendor in conjunction with the Digital Investor Platform.

  • Trading Platform means all programs and technology that present quotes in real-time, allow the placement/modification/deletion of orders and calculation of all mutual obligations of the Client and the Company.

  • online platform means a provider of a hosting service which, at the request of a recipient of the service, stores and disseminates to the public information, unless that activity is a minor and purely ancillary feature of another service and, for objective and technical reasons cannot be used without that other service, and the integration of the feature into the other service is not a means to circumvent the applicability of this Regulation.

  • Electronic Platform means such electronic and/or telecommunications facilities as may be approved by the Board from time to time that enable members to attend and participate simultaneously in a general meeting without attending a physical meeting place;

  • Public Side Lender Representatives means, with respect to any Lender, representatives of such Lender that do not wish to receive MNPI.

  • DTC/FAST Program means the DTC’s Fast Automated Securities Transfer Program.

  • Public Infrastructure means publicly owned physical infrastructure necessary to support economic development projects, including, but not limited to, sewers, water supply systems, utility extensions, streets, wastewater treatment systems, storm water management systems, and facilities for pretreatment of wastewater to remove phosphorus.

  • Investor Presentation is defined in Section 5.3.

  • Demand side management means the management of customer

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • ABS Underwriter Derived Information means any analytical or computational materials as described in clause (5) of footnote 271 of Commission Release No. 33-8591, issued July 19, 2005 (Securities Offering Reform) (the “Securities Offering Reform Release”).

  • Borrower Materials has the meaning specified in Section 6.02.

  • Exchange Access is As Defined in the Act.

  • Shareholder Materials means the Fund’s prospectus, statement of additional information and any other materials relating to the Fund provided to Fund shareholders by the Fund.

  • General-Purpose Software means Software that supports general-purpose office and software development activities and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be General-Purpose Software. Such General- Purpose Software may include, but is not restricted to, word processing, spreadsheet, generic database management, and application development software.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • DTC System means the book-entry system of DTC.

  • Offering Materials means a Fund’s currently effective prospectus and most recently filed registration statement with the SEC relating to shares of the Fund.
