Issuer Profit definition

Issuer Profit means the payment on the Issue Date into the Issuer Profit Account of $10,000 as a fee for entering into the transactions contemplated by this Indenture, the Proceeds Loan Agreement, the Collateral Sharing Agreement, the Notes Security Documents and the other agreements to which the Issuer is party.
Issuer Profit means the payment on the Issue Date into the Issuer Profit Account of (i) of £3,000 as a fee for entering into the Transactions (as defined in the Trust Deed) and (ii) a £100 arrangement fee, in each case, pursuant to the Expenses Agreement.

More Definitions of Issuer Profit

Issuer Profit means the payment of £250 on each Distribution Date, subject always to an aggregate maximum amount of £1,000 per annum, to the Issuer, as a profit amount and corporate benefit for entering into the transaction, to be credited to the Issuer Profit Ledger in accordance with the Pre-Enforcement Revenue Priority of Payments or the Post-Enforcement Priority of Payments, as applicable, and which shall not form part of the Issuer Assets.

  • Investment Capital Expenditures means capital expenditures other than Maintenance Capital Expenditures and Expansion Capital Expenditures.

  • Permitted Joint Venture Investment means, with respect to any specified Person, Investments in any other Person engaged in a Permitted Business of which at least 40% of the outstanding Capital Stock of such other Person is at the time owned directly or indirectly by the specified Person.

  • Maintenance Capital Expenditures means cash expenditures (including expenditures for the addition or improvement to the capital assets owned by any Group Member or for the acquisition of existing, or the construction of new, capital assets) if such expenditures are made to maintain, including over the long term, the operating capacity or revenues of the Partnership Group.
