Joint Collateral definition

Joint Collateral means all of the Company’s (i) real property, including all buildings and improvements located thereon; (ii) Equipment; (iii) Fixtures; (iv) Letter-of-Credit Rights; and (v) software, whether now existing or hereafter acquired, and the proceeds and products thereof.
Joint Collateral. As defined in the Collateral Agency Agreement.
Joint Collateral means the Collateral in respect of which Liens are granted to the Collateral Trustee to secure both the Notes and the Note Guarantees, on the one hand, and the Secured Senior Debt, on the other hand.

  • The Joint Collateral Agents may perform any and all their duties and exercise their rights and powers by or through any one or more sub-agents appointed by either Joint Collateral Agent.

  • The Joint Collateral Agent shall not be responsible for insuring the Collateral or for the payment of taxes, charges, assessments or liens upon the Collateral or otherwise as to the maintenance of the Collateral or the Loan and Notes Collateral Account, except that in the event that the Joint Collateral Agent enters into possession of a part or all of the Collateral or the Loan and Notes Collateral Account, the Joint Collateral Agent shall preserve the part in its possession.

  • Any corporation into which the Joint Collateral Agent may be merged, or with which it may be consolidated, or any corporation resulting from any merger or consolidation to which the Joint Collateral Agent shall be a party, shall be the Joint Collateral Agent under this Agreement without the execution or filing of any paper or any further act on the part of the parties hereto; provided that such successor entity shall meet the capital requirements specified in Section 6.09 above.

  • The Joint Collateral Agent shall be entitled to rely upon advice of reasonably selected counsel and other professionals concerning all matters pertaining to such trusts, powers and duties.


More Definitions of Joint Collateral

Joint Collateral has the meaning assigned to that term in the section entitled “—Security.”
Joint Collateral means all assets of the Borrower in which the Borrower has at the time of reference granted a Lien (a) to the Senior Secured Party to secure the Senior Secured Party Debt, and (b) to the Subordinated Secured Party to secure the Subordinated Secured Party Debt. The term includes, in each case, any and all proceeds and products of the collateral subject to such Lien.
Joint Collateral shall have the meaning set forth for such term in Section 2(a) hereof.
Joint Collateral shall not include (i) any New Note Collateral nor (ii) any General Intangibles or other rights arising under any contracts, instruments, licenses or other documents as to which the grant of a security interest would (A) constitute a violation of a valid and enforceable restriction in favor of a third party on such grant, unless and until any required consents shall have been obtained, or (B) give any other party to such contract, instrument, license or other document an enforceable right to terminate its obligations thereunder, or (iii) any asset, the granting of a security interest in which would be void or illegal under any applicable governmental law, rule or regulation, or pursuant thereto would result in, or permit the termination of, such asset

Related to Joint Collateral

  • Patent Collateral means all Patents, whether now owned or hereafter acquired by the Company that are associated with the Business.

  • Security Agreement Collateral means all "Collateral" as defined in the Security Agreement.

  • Account Collateral means, with respect to each Account, such Account, together with all cash, securities, Financial Assets and investments and other property from time to time deposited or credited to such Account and all proceeds thereof, including, with respect to the Reserve Fund, the Reserve Fund Deposit and the Reserve Fund Amount.

  • Threshold Event Collateral shall have the meaning assigned to such term in Section 5(g).

  • Senior Collateral Agent means Citicorp USA, Inc., in its capacity as Senior Collateral Agent under the Senior Collateral Documents, and its successors.

If, at any time, any portion of the Senior Collateral under one or more Senior Facilities does not constitute Second Priority Collateral under one or more Second Priority Debt Facilities, then such portion of such Senior Collateral shall constitute Shared Collateral only with respect to the Second Priority Debt Facilities for which it constitutes Second Priority Collateral and shall not constitute Shared Collateral for any Second Priority Debt Facility which does not have a security interest in such Collateral at such time.

  • Copyright Collateral means all Copyrights, whether now owned or hereafter acquired by the Company, that are associated with the Business.

  • Trade Secrets Collateral means all common law and statutory trade secrets and all other confidential or proprietary or useful information and all know-how obtained by or used in or contemplated at any time for use in the business of the Grantor (all of the foregoing being collectively called a "Trade Secret"), whether or not such Trade Secret has been reduced to a writing or other tangible form, including all documents and things embodying, incorporating or referring in any way to such Trade Secret, all Trade Secret licenses, including each Trade Secret license referred to in Schedule V attached hereto, and including the right to xxx for and to enjoin and to collect damages for the actual or threatened misappropriation of any Trade Secret and for the breach or enforcement of any such Trade Secret license.

  • UCC Filing Collateral means any Collateral, including Collateral constituting investment property, for which a security interest can be perfected by filing a UCC-1 financing statement.
