Any such Decision Points and Success Criteria must be mutually agreed by the Parties in the Long-Term Development Plan through Joint Committee Consent of the JEC or otherwise by mutual Party Written Consent.

Exclusive Territory is consistent in all material respects with the regulatory plans and strategies, but not the budget plan, set forth in the then-current Approved Plans and/or Core Data Sheet and/or Specifications (pursuant to clause 3A.3(a)(C) above), then such dispute shall be considered an Expert Matter and shall be referred to the JWWBT to be decided by Joint Committee Consent or the Parties’ applicable regulatory leaders for resolution, as appropriate.
